That does not mean a founder or officer needs to understand every line.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">But they should understand the important ones.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Before approving a return, we believe the company should have clarity on:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Which federal, state, and local returns are being filed<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Whether there are balances due, refunds, or overpayments<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">How tax payments will be made<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Whether estimated payments are being applied to the following year<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Who is signing the return on behalf of the company<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any material tax elections, disclosures, or unusual positions<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any significant differences between the financial statements and the tax return<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The goal is not to turn founders into tax professionals. It is to make sure they know what they are approving.<\/span><\/p>\n<p>\u00a0<\/p>\n<h3><span style=\"font-weight: 400;\">Understand why the tax return may look different from the books<\/span><\/h3>\n<p><span style=\"font-weight: 400;\">For technology companies, the tax return can look very different from the financial statements.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Research and development costs, meals and entertainment, penalties, deferred revenue, stock compensation, and other tax adjustments can all affect taxable income.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">A startup might show a $1 million loss on its financial statements but report a very different tax loss.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">That difference may be completely appropriate, but it should not come as a surprise when the return is signed.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Our job is to explain the few adjustments that materially changed the filing and why they matter.<\/span><\/p>\n<p>\u00a0<\/p>\n<h3><span style=\"font-weight: 400;\">Pay attention to unusual or higher-risk items<\/span><\/h3>\n<p><span style=\"font-weight: 400;\">Startup tax returns can become more complex as companies expand.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Multi-state activity, foreign shareholders, foreign subsidiaries, related-party transactions, accumulated net operating losses, and other issues can create additional reporting requirements.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">These are exactly the areas where a quick signature is not enough.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">We focus on explaining why the reporting exists, what is being disclosed, and whether anything requires confirmation from management.<\/span><\/p>\n<p>\u00a0<\/p>\n<h3><span style=\"font-weight: 400;\">Making review easier with asynchronous communication<\/span><\/h3>\n<p><span style=\"font-weight: 400;\">A meaningful review does not always require another meeting.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">We provide clients with a concise asynchronous walkthrough of the return, along with a short written summary highlighting the key balances, tax positions, and action items.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The officer can review the information on their own schedule, share it internally where appropriate, and come back with questions before signing.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">If an issue requires a deeper discussion, we schedule a call.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">This creates a better balance between efficiency and proper oversight.<\/span><\/p>\n<p>\u00a0<\/p>\n<h3><span style=\"font-weight: 400;\">Signing should be the final step, not the first review<\/span><\/h3>\n<p><span style=\"font-weight: 400;\">Corporate tax compliance is technical, but the approval process should still be understandable.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">An officer does not need to know every tax rule. They should, however, understand the important numbers, the significant tax positions, and what is being filed in the company\u2019s name.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The objective is simple: do not just sign the tax return. Understand the key items, ask questions where needed, and then approve it with confidence.
