It was first formally addressed in 1979, when the Uniform Law Commission published the\u00a0<strong data-end=\"496\" data-start=\"460\">Uniform Trade Secrets Act (UTSA)<\/strong>. Later, in 2016, Congress enacted the\u00a0<strong data-end=\"570\" data-start=\"535\">Defend Trade Secrets Act (DTSA)<\/strong>, which provided additional definitions and federal-level protection. Various judicial interpretations have followed, but certain core elements remain consistent across definitions.<\/span><\/p>\n<p data-end=\"886\" data-start=\"753\" style=\"text-align: justify;\"><span style=\"font-family: times; font-size: medium;\">A\u00a0<strong data-end=\"771\" data-start=\"755\">trade secret<\/strong>\u00a0generally refers to confidential information that drives a business\u2019s success and includes the following elements:<\/span><\/p>\n<ul data-end=\"1072\" data-start=\"887\">\n<li data-end=\"937\" data-start=\"887\">\n<p data-end=\"937\" data-start=\"889\" style=\"text-align: justify;\"><span style=\"font-family: times; font-size: medium;\">The information is secret or not publicly known.<\/span><\/p>\n<\/li>\n<li data-end=\"1008\" data-start=\"938\">\n<p data-end=\"1008\" data-start=\"940\" style=\"text-align: justify;\"><span style=\"font-family: times; font-size: medium;\">It provides economic value or a competitive advantage in the market.<\/span><\/p>\n<\/li>\n<li data-end=\"1072\" data-start=\"1009\">\n<p data-end=\"1072\" data-start=\"1011\" style=\"text-align: justify;\"><span style=\"font-family: times; font-size: medium;\">The owner has taken reasonable steps to maintain its secrecy.<\/span><\/p>\n<\/li>\n<\/ul>\n<p><span style=\"font-family: times; font-size: medium;\">As a general principle, almost every company possesses some form of trade secret. Trade secrets can include\u00a0<strong data-end=\"1235\" data-start=\"1182\">anything that gives a business a competitive edge<\/strong>\u00a0and is not otherwise protected under copyright, trademark, or patent law. These may include\u00a0<strong data-end=\"1405\" data-start=\"1328\">recipes, formulas, algorithms, databases, customer lists, strategic plans<\/strong>, and more.<\/span><\/p>\n<h3 style=\"text-align: left;\"><span style=\"color: #1155cc; font-family: times; font-variant-east-asian: normal; font-variant-ligatures: normal; font-variant-position: normal; font-weight: 700; text-decoration-skip-ink: none; text-decoration: underline; vertical-align: baseline; These instruments outline obligations and restrictions to prevent individuals with access to trade secrets from disclosing or misusing them.<\/span><span style=\"font-size: large;\">\u00a0<\/span><strong data-end=\"806\" data-start=\"655\">Attorneys carefully draft these agreements to restrict disclosure and ensure that trade secrets remain confidential, particularly from competitors.<\/strong><\/p>\n<p><span style=\"font-size: medium;\"><\/p>\n<p>It is essential for attorneys to\u00a0<strong data-end=\"869\" data-start=\"841\">clearly define the terms<\/strong>\u00a0within such contracts. Since trade secrets are not registered, attorneys have the discretion to determine the\u00a0<strong data-end=\"1007\" data-start=\"980\">duration and expiration<\/strong>\u00a0of protective agreements. Therefore, it is crucial to\u00a0<strong data-end=\"1104\" data-start=\"1062\">explicitly mention the expiration date<\/strong>\u00a0within these documents. If a trade secret is\u00a0<strong data-end=\"1172\" data-start=\"1150\">publicly disclosed<\/strong>\u00a0or otherwise\u00a0<strong data-end=\"1215\" data-start=\"1186\">loses its confidentiality<\/strong>, the owner\u00a0<strong data-end=\"1290\" data-start=\"1227\">loses the exclusive rights and associated legal protections<\/strong>.<\/p>\n<p>If any party to the contract\u00a0<strong data-end=\"1344\" data-start=\"1322\">violates its terms<\/strong>, they may be subject to legal consequences under\u00a0<strong data-end=\"1450\" data-start=\"1394\">U.S. Code Title 18, Part I, Chapter 90, Section 1832<\/strong>, which addresses the\u00a0<strong data-end=\"1498\" data-start=\"1472\">theft of trade secrets<\/strong>.
