Acquisition combines two of the state\u2019s leading P&C insurers into one regional powerhouse<\/h2>\n
Massachusetts\u2019 property and casualty insurance marketplace is set for one of its most significant consolidations in years. In a $1.54 billion all-cash transaction, Mapfre S.A. announced that its U.S. subsidiary, Webster-based Mapfre Insurance<\/a>, has entered into a definitive agreement to acquire the Boston-based Safety Insurance<\/a>. Under the terms of the agreement, Safety shareholders will receive $105 per share in cash. The deal would combine two of the state\u2019s leading property and casualty insurers and further strengthen MAPFRE\u2019s position in Massachusetts while expanding its footprint across the Northeast.<\/p>\n The acquisition builds on MAPFRE USA\u2019s existing market-leading position in Massachusetts and, according to the company, will create the second-largest writer of private passenger automobile insurance in New England, as well as the region\u2019s largest homeowners insurer<\/a> and largest commercial automobile insurer<\/a>. The boards of directors of both companies have unanimously approved the transaction, which is expected to close in the first quarter of 2027, subject to regulatory approval and approval by Safety shareholders.<\/p>\n MAPFRE Group Executive Chairman Antonio Huertas<\/a> said the acquisition advances the company\u2019s strategy of expanding in markets where it already maintains a strong presence.<\/p>\n \u201cThis acquisition is in line with Mapfre\u2019s strategic objectives to strengthen our position in the markets where we already operate\u2014specifically, in this case, in Massachusetts and a number of states throughout the Northeast.\u201d<\/p>\n Huertas said the combination would strengthen MAPFRE\u2019s scale and profitability while positioning the company for additional growth in the Northeast.<\/p>\n Jaime Tamayo, CEO of MAPFRE North America, said the transaction combines two established Massachusetts insurers with complementary strengths and expands MAPFRE\u2019s capabilities throughout the region.<\/p>\n \u201cThis is an exciting milestone that brings together two leaders in Massachusetts with a shared commitment to excellence. Safety has an exceptional team, a strong brand, and a deep understanding of the local market, making it an ideal partner.\u201d<\/p>\n Tamayo said the larger combined organization will create new growth opportunities while preserving the strengths that have made both companies successful.<\/p>\n \u201cI look forward to incorporating Safety\u2019s high-quality franchise into Mapfre USA\u2019s operations. Safety\u2019s solid underwriting<\/a> track record, servicing capabilities and agent network will enhance our product offerings and improve the customer experience of our clients and agents throughout the Northeast. This combination will definitely reinforce our commitment to agents and clients throughout the Northeast while providing enhanced opportunities for our employees.\u201d<\/p>\n According to MAPFRE\u2019s investor presentation, the combined U.S. operation would have approximately $3.9 billion in gross written premiums, $233 million in net income, and $6.8 billion in total assets, based on 2025 results and before identified synergies and restructuring costs.<\/p>\n Safety contributed $1.3 billion in gross written premiums, $99 million in net income, and $2.5 billion in total assets in 2025. The company also reported a 99.0% combined ratio, 29.0% expense ratio, 11.5% return on equity, approximately 600 employees, and a distribution network of approximately 800 independent agents.<\/p>\n MAPFRE also highlighted Safety\u2019s long-term underwriting<\/a> results, noting the insurer<\/a> has produced an average 97% combined ratio over the past 10 years and has reported a profit in 44 of its 45 years of operation.<\/p>\n The company said the acquisition is expected to generate more than $30 million in annual pre-tax synergies within three years and increase net income by more than 5%. MAPFRE also said the transaction is fully financed and is not subject to any financing condition<\/a>.<\/p>\n Under the merger agreement, a subsidiary of MAPFRE USA will merge with Safety, with Safety surviving as a wholly owned subsidiary of MAPFRE USA.<\/p>\n MAPFRE said Safety will continue to operate within the organization while maintaining the unique strengths of both companies.<\/p>\n Following the announcement, AM Best said the ratings of MAPFRE\u2019s rated operating subsidiaries remain unchanged. Those companies continue to hold a Financial Strength Rating<\/a> of A (Excellent) and a Long-Term Issuer Credit Rating<\/a> of \u201ca+\u201d (Excellent) with stable outlooks.<\/p>\n AM Best placed the Financial Strength Ratings and Long-Term Issuer Credit Ratings of Safety Insurance Company, Safety Indemnity<\/a> Insurance Company, Safety Property and Casualty Insurance Company and Safety Northeast Insurance Company under review with developing implications. The agency also placed the Long-Term Issuer Credit Rating<\/a> of Safety Insurance Group, Inc. under review with developing implications.<\/p>\n AM Best said the acquisition is \u201cstrategically compelling<\/em>\u201d because the companies share similar geographic footprints and product offerings. The rating<\/a> agency said operational synergies are expected because of the overlap in territories and lines of business. The ratings will remain under review pending completion of the transaction and its evaluation of MAPFRE\u2019s integration plans.<\/p>\n MAPFRE also announced that S&P Global Ratings upgraded the company\u2019s credit ratings following its first-half financial results and the announcement of the Safety acquisition.<\/p>\n S&P raised MAPFRE S.A.\u2019s rating<\/a> to \u201cA\u201d from \u201cA-\u201d and upgraded MAPFRE Re\u2019s rating<\/a> to \u201cAA-\u201d from \u201cA+\u201d, both with stable outlooks. <\/p>\n According to MAPFRE, S&P also upgraded the group\u2019s overall risk<\/a> profile assessment to \u201cvery strong\u201d from \u201cstrong,\u201d citing the company\u2019s operating performance and management discipline.
