Accusations of <a href=\"https:\/\/investors.ussteel.com\/news-events\/news-releases\/detail\/709\/nippon-steel-and-u-s-steel-file-multiple-lawsuits-in\">collusion<\/a> and <a href=\"https:\/\/www.nbcnews.com\/business\/business-news\/biden-blocks-japans-nippon-steel-acquiring-us-steel-rcna186073\">corruption<\/a> and warnings of national security threats have made clear this isn\u2019t your run-of-the-mill acquisition.<\/p>\n<p>Nippon announced it intended to buy U.S. Steel in 2023, and the deal awaited government approval throughout 2024. On <a href=\"https:\/\/apnews.com\/article\/nippon-steel-japan-cfius-economy-biden-099564a3cddca587af0d7340e0c15ed6\">January 3, Biden announced<\/a> that his administration would \u201cblock foreign ownership of this vital American company\u201d on the grounds that the proposed $15 billion deal posed a threat to national security. Pointing to red flags raised by the Committee of Foreign Investment in the United States (CFIUS) \u2014 which is comprised of federal agencies including the Treasury and Justice Departments \u2013 Biden said the deal would \u201cplace one of America\u2019s largest steel producers under foreign control and create risk for our national security and our critical supply chains.\u201d<\/p>\n<p>For months, both Biden and the United Steelworkers trade union warned that they opposed the deal. USW International President David McCall\u00a0<a href=\"https:\/\/m.usw.org\/news\/media-center\/releases\/2024\/usw-commends-biden-for-blocking-uss-nippon-sale\">called Nippon Steel a \u201cserial trade cheater\u201d<\/a> and accused the Japanese company of working for decades to undermine the U.S. steel industry by \u201cdumping its products\u201d in the U.S. market. Despite the widely reported objections, Biden\u2019s official announcement roiled the players involved and baffled some analysts and investors.<\/p>\n<p>U.S. Steel and Nippon were quick to blast Biden\u2019s decision and <a href=\"https:\/\/www.reuters.com\/markets\/deals\/us-steel-nippon-steel-file-two-lawsuits-after-biden-blocks-149-billion-deal-2025-01-06\/\">filed suit<\/a>. \u201cIn taking these unprecedented actions, the President and CFIUS\u00a0corrupted and compromised a critical mechanism for the protection of America\u2019s national security in order to serve the President\u2019s personal political agenda,\u201d <a href=\"https:\/\/www.courthousenews.com\/wp-content\/uploads\/2025\/01\/us-steel-nippon-steel-v-joe-biden-petition-dc-appeals.pdf\">the two companies wrote in a January 6 petition<\/a> filed with the U.S. Court of Appeals for the District of Columbia Circuit.<\/p>\n<p>Some analysts question the wisdom \u2013 and justification \u2013 for the administration\u2019s decision to block a deal involving a company based in Japan, which is a loyal and close ally to the U.S. \u201cThe merger should certainly be approved,\u201d said <a href=\"https:\/\/www.bu.edu\/articles\/2024\/would-japanese-ownership-of-us-steel-really-be-a-national-security-threat\/\">William W. Grimes<\/a>, an international relations and political science professor at the Boston University Pardee School of Global Studies. \u201cIt poses no national security threat, nor is it likely to disadvantage U.S. Steel\u2019s unionized labor force. Nippon Steel\u2019s support makes it more likely that U.S. Steel will return to financial health, continue to produce steel in the United States, and provide quality jobs.\u201d<\/p>\n<p>Last week, CFIUS extended the deadline for Nippon to abandon its plans to acquire U.S. Steel. The parties now have until June 18 to work out a solution, but it remains to be seen how President-Elect Donald Trump\u2019s administration views the proposed acquisition. Trump has indicated that he opposes the deal because of national security concerns \u2013 a rare instance of Trump agreeing with his Democratic predecessor on an issue.<\/p>\n<p>Interestingly, the Biden administration\u2019s deadline extension coincides with a potential new bidder for U.S. Steel. Prior to the current fracas, Ohio-based Cleveland-Cliffs\u00a0<a href=\"https:\/\/www.clevelandcliffs.com\/news\/news-releases\/detail\/600\/cleveland-cliffs-proposes-to-acquire-u-s-steel\">attempted to acquire U.S. Steel in 2023<\/a>. U.S. Steel shareholders rejected that offer in favor of a higher bid from Nippon, but it appears that Cleveland-Cliffs may re-enter the arena. Cleveland-Cliffs CEO Lourenco Goncalves on January 13 said he <a href=\"https:\/\/www.pbs.org\/newshour\/politics\/new-bidder-challenges-nippon-in-acquisition-of-u-s-steel-as-biden-administration-extends-deadline\">wanted to make a new bid for U.S. Steel<\/a> in what he called an \u201call-American solution\u201d to save the company. But just days before Goncalves made that announcement, U.S. Steel and Nippon <a href=\"https:\/\/investors.ussteel.com\/news-events\/news-releases\/detail\/709\/nippon-steel-and-u-s-steel-file-multiple-lawsuits-in\">filed a joint lawsuit<\/a> in the U.S. District Court for the Western District of Pennsylvania against\u00a0Goncalves, Cleveland-Cliffs, and McCall of the USW for \u201cillegal and coordinated actions aimed at preventing the transaction and attempting to undermine U. S. Steel\u2019s ability to compete and Nippon Steel\u2019s ability to provide American-made steel to American consumers.\u201d<\/p>\n<p>What happens next for Nippon and U.S. Steel? Even with the coming changes in the White House, the deal remains a political nightmare. If Trump drops Biden\u2019s block on the acquisition, he risks alienating labor interests and putting a storied American company in foreign hands.
