Even the generally reserved activities of a national<br \/>\nlike atomic energy, defence, space technology has never been fully<br \/>\nself-reliant.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>There have been an army of<br \/>\ncontractors, developers and concessionaires who have catered to this<br \/>\ninfrastructure development of a country and India is no exception with the<br \/>\nprivate sector contractors\u2019 role displaying a continuum ranging from a humble<br \/>\nsupply of goods or services contract through turnkey and Engineering,<br \/>\nProcurement and Construction (\u201c<b style=\"mso-bidi-font-weight: normal;\">EPC<\/b>\u201d)<br \/>\ncontracts to the Build, Own, Operate and Transfer (\u201c<b style=\"mso-bidi-font-weight: normal;\">BOOT<\/b>\u201d) variant concession agreements under the Public Private<br \/>\nPartnership (\u201c<b style=\"mso-bidi-font-weight: normal;\">PPP<\/b>\u201d) formats.<span style=\"mso-spacerun: yes;\">\u00a0\u00a0 <\/span>Besides the Central and State Governments,<br \/>\ntheir Public Sector Enterprises and the local bodies, several private<br \/>\ninfrastructure developers and other contractors who have been awarded such<br \/>\npublic contracts also in turn engage sub-contractors, suppliers, vendors and<br \/>\nother service providers from the private sector.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Now, what happened to all these private<br \/>\ncontractors when the Covid-19 global pandemic onslaught began in our<br \/>\ncountry?<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><o:p\/><\/span><\/p>\n<p>\n<span style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-bidi-font-family: Calibri; mso-bidi-theme-font: minor-latin;\">The outbreak and<br \/>\nrapid spread of Covid-19, as a global pandemic, to almost every country in the<br \/>\nglobe wrecked catastrophic damage to precious of human lives and led to the<br \/>\nclamping down of virtual lockdown of human activity into quarantine and curfew<br \/>\nrestrictions in several parts of the globe, including India.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>In our country, initially employees were<br \/>\nadvised to practice social distancing, very soon to be directed to work from<br \/>\nhome and thereafter abruptly directed to be confined in their homes, with the<br \/>\nresult all the contractors\u2019 offices, as well as project sites and contractual<br \/>\nperformances were constrained to be suspended since the beginning of March<br \/>\n2020.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Several State Governments in India<br \/>\nalso announced additional or more stringent measures, including containment<br \/>\nzone restrictions, thereby adversely affecting the ability of staff and<br \/>\nemployees of the contractors to perform their services.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Travel of the project <span style=\"mso-spacerun: yes;\">\u00a0<\/span>and other staff, both domestic and<br \/>\ninternational, have been abruptly stopped with the cancellation of<br \/>\ninternational and domestic flights, cessation of train and other surface<br \/>\ntransportation in India affecting project execution and completion activities.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Their suppliers and vendors, both in India<br \/>\nand abroad, have also been in turn affected by similar suspension of all<br \/>\nactivities, including the lockdown, non-processing or production and consequent<br \/>\nnon-supply of equipment\/materials, non-rendering of services to the Indian<br \/>\ncontractors, affecting the entire supply chain.<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span>Almost the entire migrant labour who were working in all the project<br \/>\nsites have fled to their home states thereby crippling the project execution<br \/>\ncapabilities.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Besides, there are severe<br \/>\nlockdown and interstate as well as intrastate movement restrictions in several<br \/>\nparts of the country which is also affecting project execution activities.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Project and contractual collections from the<br \/>\nemployers drastically fell through to nil and the contractors were soon left<br \/>\nwith no revenue realisation, despite their obligation to provide for staff<br \/>\nsalary, overhead, statutory and tax outgoings. The scope, effect and impact of<br \/>\nthis global pandemic on various aspects of human resource availability and<br \/>\napplicability, closure of offices and project operations, inability to achieve<br \/>\nproject milestones, loss of projected revenues, statutory and tax outgoings,<br \/>\nidle wages to employees, repayment obligations towards lenders and operational<br \/>\ncreditors is presently incalculable, unprecedented and unpredictable and way<br \/>\nbeyond the reasonable control of the contractors.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Under these circumstances, it is only just<br \/>\nand necessary that the contractual obligations need to be excused from<br \/>\nperformance till such circumstances cease to exist.<span style=\"mso-spacerun: yes;\">\u00a0\u00a0 <\/span><o:p\/><\/span><\/p>\n<p>\n<b><u><span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">Central<br \/>\nGovernment Succor to the Contractors:<\/span><\/u><\/b><\/p>\n<p>\n<span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">The Modi 2.0 Government stepped in with all the<br \/>\nalacrity it deserved and unleashed a slew of relief measures to tide over<br \/>\nCovid-19 pandemic.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>It readily came<br \/>\nforward to extend <i style=\"mso-bidi-font-style: normal;\">force majeure condition<\/i><br \/>\nto the outbreak of Covid-19 so as to ensure that contractors do not end up in<br \/>\ndefault in relation to all supply contracts with the Central Government<b style=\"mso-bidi-font-weight: normal;\">(1).<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span><\/b>For its part, the Reserve Bank of India (\u201c<b style=\"mso-bidi-font-weight: normal;\">RBI<\/b>\u201d) had declared and extended moratorium on term loans and<br \/>\nworking capital facilities effectively for a period of 6 months<b style=\"mso-bidi-font-weight: normal;\">(2)<\/b>.<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span>The Central Government realized the need to prevent the defaulting<br \/>\ncontractors, <i style=\"mso-bidi-font-style: normal;\">inter-alia<\/i>, from being<br \/>\nhauled over the coals of the Insolvency and Bankruptcy Code, 2016 (\u201c<b style=\"mso-bidi-font-weight: normal;\">IBC<\/b>\u201d) which could render them<br \/>\ncommercially extinct by promulgating relaxations, moratorium on initiation of<br \/>\ncorporate insolvency resolution process and associated liquidation process<b style=\"mso-bidi-font-weight: normal;\">(3)<\/b>.<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span>However, while ensuring liquidity of cash into the hands of the<br \/>\ncontractors and preventing a financial default and its resolution under the<br \/>\naegis of IBC are welcome, it was a dire legal imperative that the contractors<br \/>\nneed to be provided contractual reprieves and relaxations in their contract<br \/>\nconditions and stipulations, which was also duly taken cognizance of by the<br \/>\nModi 2.0 Government.<o:p\/><\/span><\/p>\n<p>\n<b style=\"mso-bidi-font-weight: normal;\"><u><span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">Contractual<br \/>\nPerformance Relaxations:<o:p\/><\/span><\/u><\/b><\/p>\n<p>\n<span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">In continuation to the February 19, 2020 notification<br \/>\nof the Finance Ministry permitting Covid-19 as a <i style=\"mso-bidi-font-style: normal;\">force majeure<\/i> condition, the Finance Minister announced <\/span><span style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-bidi-font-family: Calibri; mso-bidi-theme-font: minor-latin;\">on May 15, 2020, <i style=\"mso-bidi-font-style: normal;\">inter-alia<\/i>, to the effect that \u201c<\/span><i style=\"mso-bidi-font-style: normal;\"><span style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%;\">All central agencies like Railways,<br \/>\nMinistry of Road Transport and Highways and CPWD will give extension of up to 6<br \/>\nmonths for completion of contractual obligations, including in respect of EPC<br \/>\nand concession agreements.\u201d <\/span><\/i><span style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%;\"><span style=\"mso-spacerun: yes;\">\u00a0\u00a0<\/span>The Finance Ministry further clarified that<br \/>\nfor all contracts which were due to be completed on or after February 20, 2020<br \/>\nshall be duly extended by a period of 3 months to 6 months without imposition<br \/>\nof any cost or penalty on the contractors or the PPP concessionaires<b style=\"mso-bidi-font-weight: normal;\">(4)<\/b>. <span style=\"mso-spacerun: yes;\">\u00a0\u00a0<\/span>Besides the above, in order to ease the<br \/>\nworking capital requirements and save the bank guarantee commission charges,<br \/>\nthe Central Government also issued orders to the Government Departments and<br \/>\ncentral agencies to reduce the value of the performance bank guarantees submitted<br \/>\nby the contractors to the extent of work already completed by them<b style=\"mso-bidi-font-weight: normal;\">(5).<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span><\/b><\/span><span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">In order to<br \/>\nsupport the Indian contracting companies, the Central Government also notified<br \/>\nthat no global competitive tendering shall be any more mandatory for contracts<br \/>\nvalued less than Rs.200 crores<b style=\"mso-bidi-font-weight: normal;\">(6).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b>The Ministry of Defence also extended the<br \/>\ndelivery time of Indian contractors for all capital acquisition contracts by<br \/>\nfour months without computing the said period for imposition of liquidated<br \/>\ndamages<b style=\"mso-bidi-font-weight: normal;\">(7). <\/b><o:p\/><\/span><\/p>\n<p>\n<b style=\"mso-bidi-font-weight: normal;\"><u><span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">Relief<br \/>\nto PPP Concessionaires:<o:p\/><\/span><\/u><\/b><\/p>\n<p>\n<span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">The Ministry of Road Transport &amp; Highways on June<br \/>\n3, 2020 announced relief measures to the contractors, concessionaires and<br \/>\ndevelopers in the road sector, <i style=\"mso-bidi-font-style: normal;\">inter-alia<\/i>,<br \/>\nproviding for release of the retention money <i style=\"mso-bidi-font-style: normal;\">pro-rata<\/i> to the work completed by them; extension of time under the<br \/>\ncontracts between 3 to 6 months depending on site conditions; direct payment to<br \/>\nsub-contractors through escrow accounts; waiver of penalty for delay in<br \/>\nsubmission of performance bank guarantee; extension of the concession period to<br \/>\ncompensate the loss in toll fee collections etc.<b style=\"mso-bidi-font-weight: normal;\">(8).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b>Real estate developers<br \/>\nwere also accorded extended timelines for registration and completion of their<br \/>\nprojects in terms of the Real Estate (Regulation &amp; Development) Act, 2016<b style=\"mso-bidi-font-weight: normal;\">(9)<\/b>.<o:p\/><\/span><\/p>\n<p>\n<span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">In case of thermal power generating companies, the<br \/>\nMinistry of Power exhorted them to utilize domestic coal for blending purposes in<br \/>\nthe face disruption in global supply chain and offered to make the same<br \/>\navailable on priority basis<b style=\"mso-bidi-font-weight: normal;\">(10).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b>The Ministry of New &amp; Renewable<br \/>\nEnergy permitted the granting of suitable extension of time for the achievement<br \/>\nof Scheduled Commissioning Date for the renewable energy projects<b style=\"mso-bidi-font-weight: normal;\">(11) <\/b>and subsequently the entire<br \/>\nlockdown period plus 30 days normalization period was also directed to be<br \/>\nautomatically granted as <i style=\"mso-bidi-font-style: normal;\">force majeure<\/i><br \/>\nperiod<b style=\"mso-bidi-font-weight: normal;\">(12) <\/b>and it also permitted<br \/>\nthat all the renewable energy projects can raise invoices and bills through<br \/>\nemails by relaxing the mandatory norm of hard copy submission<b style=\"mso-bidi-font-weight: normal;\">(13).<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span><\/b>DISCOMS were also directed to avail power from the renewable energy<br \/>\ngenerators with a \u2018<i style=\"mso-bidi-font-style: normal;\">must-run<\/i>\u2019 status<br \/>\nduring the lockdown period and that DISCOMS should make payments to the<br \/>\nrenewable energy generators as done prior to lockdown<b style=\"mso-bidi-font-weight: normal;\">(14).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b>Certain relaxations<br \/>\nand extension of time was also provided to the developers, co-developers as<br \/>\nwell as units functioning in the Special Economic Zones<b style=\"mso-bidi-font-weight: normal;\">(15).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><o:p\/><\/b><\/span><\/p>\n<p>\n<span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">Deferment of revenue share, royalty and equipment hire<br \/>\ncharges was directed to be provided to port concessionaires, besides granting waiver<br \/>\nof lease rentals and licence fees as well as relaxation in minimum guaranteed<br \/>\nthrough-put (\u201c<b style=\"mso-bidi-font-weight: normal;\">MGT<\/b>\u201d) obligations and<br \/>\nperformance standards obligations<b style=\"mso-bidi-font-weight: normal;\">(16).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b>In order to enhance the competitiveness<br \/>\nof the Indian contractors and to ward off Chinese contractors, the Minister for<br \/>\nRoad Transport &amp; Highways recently declared a ban on Chinese contractors in<br \/>\nall road projects and recommended the lowering of the project experience<br \/>\nqualifications and financial eligibility criteria for Indian contractors<b style=\"mso-bidi-font-weight: normal;\">(17)<\/b>.<o:p\/><\/span><\/p>\n<p>\n<b style=\"mso-bidi-font-weight: normal;\"><u><span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">No<br \/>\nPanacea for Contractors<\/span><\/u><\/b><b style=\"mso-bidi-font-weight: normal;\"><span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">:<o:p\/><\/span><\/b><\/p>\n<p>\n<span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">An illustrative list of the measures as above<br \/>\nhighlighted may accord an impression that that the contractors, developers and<br \/>\nconcessionaires have been ring-fenced against all the adversities caused by the<br \/>\nCovid-19 pandemic in India.<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span>Unfortunately, the fact is otherwise.<span style=\"mso-spacerun: yes;\">\u00a0<br \/>\n<\/span>It would be palpable that all the above advisories and relief measures<br \/>\nhave been announced by the Central Government and are therefore binding only on<br \/>\nthe Central Ministries and Departments and the central agencies and their<br \/>\npublic sector.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><i style=\"mso-bidi-font-style: normal;\">Firstly<\/i>, even these Central Government advisories did not have any<br \/>\nsalutary effect to secure interim measure of protection\/ mandatory injunctions<br \/>\nagainst private parties<b style=\"mso-bidi-font-weight: normal;\">(18).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b><i style=\"mso-bidi-font-style: normal;\">Secondly,<\/i><b style=\"mso-bidi-font-weight: normal;\"> <\/b>in the matter of granting injunction<br \/>\nagainst bank guarantees and letters of credit, the courts have held that<br \/>\nalthough Covid-19 qualifies as a <i style=\"mso-bidi-font-style: normal;\">force<br \/>\nmajeure<\/i>, if there had been defaults committed by the contractors prior to<br \/>\nthe outbreak of this pandemic and continued thereafter, then, no relief could<br \/>\nbe granted in their favour<b style=\"mso-bidi-font-weight: normal;\">(19).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b>Delhi High Court gave certain reliefs to<br \/>\na road concessionaire by applying the advisories of the Ministry of Road<br \/>\nTransport &amp; Highways, although it did not effectively prevent the<br \/>\ninvocation of bank guarantees<b style=\"mso-bidi-font-weight: normal;\">(20).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b>No injunction was granted to restrain payments<br \/>\nunder letters of credit during Covid-19 pandemic<b style=\"mso-bidi-font-weight: normal;\">(21).<span style=\"mso-spacerun: yes;\">\u00a0 <\/span><\/b><i style=\"mso-bidi-font-style: normal;\">Thirdly, <\/i>the State Governments who have also awarded several<br \/>\ncontractors and concession agreements under PPP format have left the<br \/>\ncontractors in the lurch without any written down policy and advisory<br \/>\npronouncements on granting any relaxation, reliefs or extensions or waivers in<br \/>\nrelation to contractual compliance, thus, exposing them to the vagaries of subjective<br \/>\nand unpredictable interpretation in matters relating to determination of <i style=\"mso-bidi-font-style: normal;\">force majeure<\/i> protection for their<br \/>\ncontractors.<o:p\/><\/span><\/p>\n<p>\n<span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif; font-size: 12.0pt; line-height: 150%; mso-ansi-language: EN-US;\">It has been difficult times for the contractors,<br \/>\ndevelopers and the concessionaires to navigate through the turbulent Covid-19<br \/>\ntimes and there has to be not only policy pronouncements by the Central<br \/>\nGovernment, but, the State Government should also emulate the same in relation<br \/>\nto the contracts in their realm.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>The<br \/>\nregulators and the judiciary have by and large appreciated the difficulties<br \/>\nfaced by the contractors, but, have been generally averse to intervene in<br \/>\nmatters of injuncting bank guarantees and letters of credit (possibly as these<br \/>\nare independent contracts between the banks and the beneficiaries) especially<br \/>\nwhen defaults have been committed by the contractors prior to the onset of the<br \/>\nCovid-19 pandemic.<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>However, the<br \/>\njudiciary and the regulators have not fought shy to come to the rescue of the<br \/>\ncontractors who had been diligent in their contractual performances, but, <i style=\"mso-bidi-font-style: normal;\">bonafide<\/i> came to be affected by the<br \/>\nCovid-19 <i style=\"mso-bidi-font-style: normal;\">force majeure<\/i> circumstances<b style=\"mso-bidi-font-weight: normal;\">(22<\/b>).<o:p\/><\/span><\/p>\n<p>\n<b style=\"mso-bidi-font-weight: normal;\"><span lang=\"EN-US\" style=\"font-family: &quot;Bookman Old Style&quot;,serif;
