Valued at approximately $1.6B, the deal will result in a merger between <a href=\"https:\/\/peartherapeutics.com\/\" target=\"_blank\" rel=\"noopener\">Pear Therapeutics Inc.<\/a> and <a href=\"https:\/\/www.thimblepoint.com\/\" target=\"_blank\" rel=\"noopener\">Thimble Point Acquisition Corp.<\/a> (THMA) to form Pear Holdings Corp. (PEAR) (love that ticker!). There\u2019s a lot to unpack here, from what this means for SPACs\u2019 impact on the digital health market to the opportunities for the soon-to-be public Pear\u2019s trajectory.<\/p>\n<h3>What does this deal mean in the context of the digital health SPAC boom?<\/h3>\n<p>As we\u2019ve written before, there is a potential <a href=\"https:\/\/rockhealth.com\/reports\/glitter-or-gold-what-the-spac-trend-means-for-digital-health\/\" target=\"_blank\" rel=\"noopener\">supply-demand mismatch<\/a> between SPAC sponsors and possible targets in digital health. This deal indicates that the mismatch may be growing.<\/p>\n<p>Thimble Point\u2019s announced area of focus was \u201chigh-growth software and technology-enabled companies that are disrupting large and established industries,\u201d and digital health fits the bill. However, Thimble Point was not publicly focused on healthcare or digital health in its search for a SPAC target. As more non-healthcare-focused sponsors close deals with highly capitalized digital health companies like Pear, the SPACs still in a race to acquire in digital health face a shrinking pool of targets.<\/p>\n<p>In regards to the company itself, Pear Therapeutics has long been a marquee organization in the world of digital health. From coining the term \u201c<a href=\"https:\/\/peartherapeutics.com\/science\/prescription-digital-therapeutics\/\" target=\"_blank\" rel=\"noopener\">prescription digital therapeutic<\/a>\u201d (PDT) to being the <a href=\"https:\/\/peartherapeutics.com\/fda-obtains-fda-clearance-first-prescription-digital-therapeutic-treat-disease\/\" target=\"_blank\" rel=\"noopener\">first to receive FDA clearance<\/a> for a PDT with <a href=\"https:\/\/www.resetforrecovery.com\/\" target=\"_blank\" rel=\"noopener\">reSET\u00ae<\/a>, Pear has been a pioneer.<\/p>\n<h3>What will going public\u2014and the influx of funds that come with it\u2014mean for this category-creator?<\/h3>\n<p>We\u2019re keeping our eyes on the end-to-end platform Pear has built for bringing PDTs to market. This infusion of capital gives Pear the means to make an infrastructure play in the PDT segment\u2014or even in digital therapeutics, more broadly. Their platform provides the technology backbone to support discovery, development, and commercialization of PDTs\u2014even solving for the complexity of dispensing prescribed software. Corey McCann, M.D., Ph.D. President and CEO of Pear, <a href=\"https:\/\/peartherapeutics.com\/pear-therapeutics-to-become-a-public-company-and-expand-its-leadership-position-in-prescription-digital-therapeutics\/\" target=\"_blank\" rel=\"noopener\">indicated<\/a> the company \u201cis at a commercial inflection point, with potential for rapid expansion.\u201d We see two different paths the company could take to achieve this rapid expansion.<\/p>\n<p><strong>Option one:<\/strong> use the new capital to expand into other therapeutic areas via a string of acquisitions, getting in on the <a href=\"https:\/\/rockhealth.com\/reports\/digital-healths-platform-wars-are-heating-up\/\" target=\"_blank\" rel=\"noopener\">platform wars<\/a>. They could use their hallmark commercialization strategy to create a PDT platform. Notably, this wouldn\u2019t be too far removed from Pear\u2019s strategy to date, which has included <a href=\"https:\/\/lvg.virginia.edu\/ventures\/behealth-solutions-llc\" target=\"_blank\" rel=\"noopener\">licensing technology from academia<\/a>, productizing, and commercializing it.<\/p>\n<p><strong>Option two:<\/strong> convert their current assets into the next-gen platform for PDT development, following another trend of supporting marketwide growth by providing <a href=\"https:\/\/rockhealth.com\/zus-health-investment\/\" target=\"_blank\" rel=\"noopener\">critical digital health infrastructure<\/a>. This could be enhanced by technology that Pear has recently licensed from other digital health startups such as <a href=\"https:\/\/peartherapeutics.com\/pear-therapeutics-expands-platform-with-digital-biomarkers-machine-learning-algorithms-and-sensor-based-technologies\/\" target=\"_blank\" rel=\"noopener\">Empatica, etectRx, KeyWise AI,<\/a> and <a href=\"https:\/\/winterlightlabs.com\/news\/2020\/01\/07\/pear-therapeutics.html\" target=\"_blank\" rel=\"noopener\">Winterlight Labs<\/a> to serve as (in their words) \u201c<a href=\"https:\/\/peartherapeutics.com\/science\/product-pipeline\/\" target=\"_blank\" rel=\"noopener\">platform enhancements.<\/a>\u201d<\/p>\n<p>For now Pear appears to be well positioned for either path.
