{"id":237834,"date":"2025-05-12T09:46:03","date_gmt":"2025-05-12T09:46:03","guid":{"rendered":"https:\/\/peraltafinancing.com\/agriculture\/insect-ag-pioneer-aspire-pursues-court-supervised-rescue-deal\/"},"modified":"2025-05-12T09:46:03","modified_gmt":"2025-05-12T09:46:03","slug":"insect-ag-pioneer-aspire-pursues-court-supervised-rescue-deal","status":"publish","type":"post","link":"https:\/\/fivemor.com\/?p=237834","title":{"rendered":"Insect ag pioneer Aspire pursues court-supervised rescue deal"},"content":{"rendered":"<p> <br \/>\n<\/p>\n<div>\n<p>Canadian insect ag pioneer\u00a0<a href=\"https:\/\/aspirefg.com\/\">Aspire Food Group <\/a>has laid off more staff amid ongoing uncertainty over tariffs and trade, but says it is actively pursuing a deal through a court-supervised process that could enable it to preserve operations.<\/p>\n<p>CEO David Rosenberg told <em>AgFunderNews<\/em>: \u201cWhile we\u2019ve increased our yields [of cricket protein] very significantly, we need more capital to make the changes we need to make, and it\u2019s very hard to raise capital with a lot of debt. So we needed to negotiate a solution with debt holders, some secured, some unsecured. And it was best to do that via a court-supervised process.<\/p>\n<p>\u201cWe\u2019re working closely with the bank, which wants to see us succeed, so we\u2019re trying to put financing together. We still have about 16 people on the team.\u201d<\/p>\n<p>The firm\u2014which\u00a0<a href=\"https:\/\/agfundernews.com\/exclusive-aspire-food-group-cuts-staff-temporarily-scales-back-production-at-cricket-farm\">laid off two-thirds of its 150 employees<\/a>\u00a0and scaled back production at its\u00a0<a href=\"https:\/\/agfundernews.com\/aspire-ramps-up-worlds-largest-automated-cricket-production-facility-scouts-for-2nd-site\">cricket farming facility in London, Ontario<\/a> in November\u2014\u201cmade the difficult decision to [further] reduce its workforce,\u201d according to a <a href=\"https:\/\/www.linkedin.com\/posts\/aspirefg_for-immediate-release-aspire-pursues-strategic-activity-7325602966755799041-jj2m\/\">LinkedIn post<\/a> penned on Tuesday.<\/p>\n<p>The move follows recent grim news from European insect ag firms <a href=\"https:\/\/www.agtechnavigator.com\/Article\/2025\/05\/05\/enorm-seeks-new-investors-to-relaunch-operations\/\">Enorm Biofactory<\/a>, <a href=\"https:\/\/agfundernews.com\/insect-farmer-ynsect-files-safeguard-plan-with-french-court-for-financial-breathing-space-as-it-seeks-funds-to-ramp-up-production\">\u0178nsect, and Agronutris<\/a>, which have all been forced to reassess their business models as investor sentiment has soured on the sector.<\/p>\n<p>According to Aspire, its situation materially worsened early this year when the Trump administration <a href=\"https:\/\/www.whitehouse.gov\/presidential-actions\/2025\/02\/imposing-duties-to-address-the-flow-of-illicit-drugs-across-our-national-border\/\">announced tariffs<\/a> on goods coming into the US from Canada, which were subsequently <a href=\"https:\/\/www.whitehouse.gov\/fact-sheets\/2025\/03\/fact-sheet-president-donald-j-trump-adjusts-tariffs-on-canada-and-mexico-to-minimize-disruption-to-the-automotive-industry\">scaled back<\/a>, but created significant uncertainty.<\/p>\n<p>\u201cWith nearly all of Aspire\u2019s product sales destined for US pet food manufacturers, these tariffs introduced a sudden and severe disruption to its commercial model, compounding the pressure on the business during an already complex restructuring effort,\u201d said Rosenberg, who cofounded vertical farming startup <a href=\"https:\/\/agfundernews.com\/aerofarms-emerges-from-ch-11-as-its-virginia-based-indoor-farm-nears-profitability\">AeroFarms<\/a>\u00a0and took on the CEO role at Aspire in late 2023.<\/p>\n<p>\u201cLike many Canadian exporters, we\u2019ve had to absorb shocks that were entirely outside our control. The tariffs fundamentally disrupted our primary market and introduced volatility that made it extremely difficult to execute on long-term plans. We\u2019ve fought hard to navigate these headwinds\u2014and are still doing everything we can to secure a solution that reflects the value we\u2019ve built.\u201d<\/p>\n<p>Aspire has \u201csigned two term sheets with prospective partners and is in active discussions with stakeholders to pursue a transaction that could preserve operations, allow it to scale and renew long-term value,\u201d he added.<\/p>\n<h4><strong>Court-supervised process<\/strong><\/h4>\n<p>While Aspire has made significant progress in automating its operations and improving production efficiency, it has nevertheless \u201creached a point where deeper structural change is required to sustain operations,\u201d explained the firm.<\/p>\n<p>\u201cThe court-supervised process is providing a structured framework to pursue that change. A negotiated settlement agreement with the court-appointed receiver outlines a potential path toward a successful transaction.\u201d<\/p>\n<p>\u201cWe are incredibly proud of what this team has built,\u201d said Rosenberg. \u201cAspire remains focused on concluding a successful transaction and continues to engage closely with all key stakeholders.\u201d<\/p>\n<h4><strong>The world\u2019s largest cricket processing facility <\/strong><\/h4>\n<p>Billed by Aspire as the world\u2019s largest cricket processing facility, Aspire\u2019s 150,000 sq ft facility in London, Ontario, supplies frozen whole crickets that customers can further process.<\/p>\n<p>About 25% of the funding for the plant came from government grants, 30% came from a loan, and the balance from equity, said Ashour in an\u00a0<a href=\"https:\/\/agfundernews.com\/aspire-ramps-up-worlds-largest-automated-cricket-production-facility-scouts-for-2nd-site\">interview<\/a>\u00a0with\u00a0<em>AgFunderNews<\/em>\u00a0in March 2023 in which he claimed to have \u201csignificant contractual commitments for the majority of our production.\u201d<\/p>\n<p>He added: \u201cSubstantially all of our production is going into petfood in North America but we\u2019re also having exciting discussions with companies outside of North America in human food and petfood.\u201d<\/p>\n<p>Founded in 2012 by five MBA students from McGill University, Aspire acquired the EXO cricket bar brand in 2018 before <a href=\"https:\/\/aspirefg.com\/hoppy-planet-foods-acquires-exo-protein-from-aspire-food-group\/\">selling it to Hoppy Planet Foods in 2021<\/a>\u00a0in order to focus exclusively on cricket farming and production.<\/p>\n<p>One insect industry source told us: \u201cIt must be hard and expensive to be alone in the cricket sector [when you have to] do everything: technology, <a href=\"https:\/\/www.aafco.org\/\">AAFCO<\/a>\u00a0definition, research, market, etc. I think to be competitive with insects other than BSFL, they had to go \u2018all in\u2019 in automation, but with insects we\u2019ve learned that it\u2019s not an easy path.<\/p>\n<p>\u201cI think they\u2019ve stalled in term of bioconversion rates and ramp up in the last few years, but they were making great progress.
