Within the Group, therefore, <\/em><strong><em>we look forward to an improved situation at the year end<\/em><\/strong><em>, providing there are no sudden changes to the economic class=\"wp-block-list\">\n<li>FY adjusted operating profit therefore advanced 9% to \u00a332.4m to set a new FY record.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s adjusted operating profit excludes the amortisation of acquired intangibles and, for this FY,\u00a0a \u00a31.4m accounting gain to reflect the reduced earn-out provision for Zemper (see <a class=\"wp-block-list\">\n<li>The adjusted profit improvement was not supported by higher revenue, but was instead driven by a higher margin through \u201c<em>impressive results<\/em>\u201d from TFW\u2019s procurement team alongside a \u201c<em>targeted reduction of material spend<\/em>\u201d (see <a href=\"#financials-margin-employees\">Financials: margin and employees<\/a>).<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>FY revenue in fact dipped 1% to \u00a3176m after H2 revenue declined 2%:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-d6243ca8\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-d6243ca8\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart02.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart02.png 700w, class=\"wp-block-list\">\n<li>TFW\u2019s progress was complicated by SchahlLED, which was <a href=\"https:\/\/maynardpaton.com\/2022\/08\/01\/fw-thorpe-record-h1-results-reveal-thorlux-orders-up-25-and-another-special-dividend-as-companies-scramble-for-energy-efficient-lighting\/#comment-13091\">purchased during September 2022<\/a> and contributed for the full twelve months during this FY but for nine months during the comparable FY.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>SchahLED experienced a difficult FY, with its revenue contribution \u00a31.5m lower at \u00a315.4m despite the extra three months of ownership (see <a href=\"#thorlux-schahlled\">Thorlux and SchahlLED<\/a>).<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The flat FY revenue performance was described by TFW as <em>\u201cconsolidation<\/em>\u201c\u2026<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>Following a few years of significant organic and acquisitive growth, <\/em><strong><em>this year has been one of consolidation<\/em><\/strong><em>.<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>\u2026and seemed to be caused by a lid being kept on product pricing:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>Generally, <\/em><strong><em>market selling price increases for luminaires have slowed<\/em><\/strong><em>\u2026<br \/>\u2026<br \/>\u201cCompetition is in a variety of forms, from private businesses to listed multinationals and from the information available, <\/em><strong><em>financial performance has been muted given that the last few years were supported by sales price increases<\/em><\/strong><em>.\u201d<br \/>\u2026<br \/>\u201cDiversification of Group revenue sources\u2026 has delivered solid revenue and\u2026 resulted in a growth in operating profit <\/em><strong><em>despite selling price increases being limited this year<\/em><\/strong><em>, hampering the Group\u2019s ability to offset cost pressures.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>Divisional performances were mixed. Thorlux and the Dutch operations enjoyed the bulk of the profit progress, while Zemper has still to show its full potential and the various Other subsidiaries continue to perform poorly: \u00a0<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-ec52f9ab\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-ec52f9ab\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart03.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart03.png 700w, class=\"wp-block-list\">\n<li>The ordinary FY dividend therefore enjoyed its 22nd consecutive annual advance and has not been cut since at least 1991:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-8707c77b\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-8707c77b\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart06.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart06.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart06-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>This FY\u2019s highlight was a special 2.5p per share dividend \u2014 the third extra payout in just four years \u2014 and somewhat of a surprise following the significant recent expenditure acquiring SchahlLED, Zemper and joint-venture Ratio Electric (see <a href=\"#financials-balance-sheet-cash-flow\">Financials: balance sheet and cash flow<\/a>).<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-f4775629 gb-headline-text\" id=\"thorlux-schahlled\"><strong>Thorlux and SchahlLED<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/www.thorlux.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">Thorlux<\/a> manufactures a wide range of professional lighting equipment \u2014 most notably the <a href=\"https:\/\/www.thorlux.com\/smartscan\" target=\"_blank\" rel=\"noreferrer noopener\">SmartScan<\/a> system \u2014 and represents approximately 60% of the group:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-00dd2fca\"><a href=\"https:\/\/vimeo.com\/363285094\" target=\"_blank\" rel=\"noopener noreferrer\"><img loading=\"lazy\" decoding=\"async\" width=\"637\" height=\"369\" class=\"gb-image gb-image-00dd2fca\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2020\/05\/TFW-SmartScan-video-still-1.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2020\/05\/TFW-SmartScan-video-still-1.png 637w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2020\/05\/TFW-SmartScan-video-still-1-300x174.png 300w, class=\"wp-block-list\">\n<li>The division has operated since 1936 and attracts customers through innovative products, manufacturing excellence, bespoke designs and high-quality service (<a href=\"https:\/\/maynardpaton.com\/2024\/02\/11\/fw-thorpe-record-fy-2023-delivers-21st-consecutive-annual-dividend-increase-suggests-schahlled-acquired-at-5x-ebitda-and-justifies-35m-cash-reserve-to-some-shareholders\/#comment-13371\">point 4<\/a>) that combine to provide buyers with \u201c<em>peace of mind<\/em>\u201d (<a href=\"https:\/\/maynardpaton.com\/2024\/02\/11\/fw-thorpe-record-fy-2023-delivers-21st-consecutive-annual-dividend-increase-suggests-schahlled-acquired-at-5x-ebitda-and-justifies-35m-cash-reserve-to-some-shareholders\/#comment-13371\">point 7<\/a>).<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Thorlux\u2019s lighting offers a \u201c<em>low total cost of ownership<\/em>\u201c, with modest maintenance requirements, extended working lifetimes and, increasingly, significant energy savings (<a href=\"https:\/\/maynardpaton.com\/2024\/02\/11\/fw-thorpe-record-fy-2023-delivers-21st-consecutive-annual-dividend-increase-suggests-schahlled-acquired-at-5x-ebitda-and-justifies-35m-cash-reserve-to-some-shareholders\/#comment-13371\">point 7<\/a>):<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-2083938d\"><img decoding=\"async\" class=\"gb-image gb-image-2083938d\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2023\/01\/TFW-website-thorlux-product-range.png\" alt=\"\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>This FY\u2019s case studies included a <a href=\"https:\/\/www.thorlux.com\/projects\/rhind-building\" target=\"_blank\" rel=\"noreferrer noopener\">university building in London<\/a>, within which Thorlux replaced \u201c<em>outdated fluorescent<\/em>\u201d lighting to generate an astonishing 94% energy saving:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\"><em>\u201cThe Rhind Building houses several lecture rooms and meeting spaces that are in regular use by the university. However, t<\/em><strong><em>he lighting system comprised outdated fluorescent technology<\/em><\/strong><em> and required updating\u2026 [T[he university sought to improve energy efficiency and reduce carbon output.<br \/>\u2026<\/em><br \/><em>Thorlux retrofitted 1,260 luminaires in the Rhind Building, <\/em><strong><em>resulting in an energy saving of 94%<\/em><\/strong><em> compared with the old lighting system, with the potential saving of \u00a3194,498 of electricity each year.\u201d<\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>Many of <a href=\"https:\/\/www.thorlux.com\/projects\/\" target=\"_blank\" rel=\"noreferrer noopener\">Thorlux\u2019s projects<\/a> involve educational, healthcare and other public facilities. For example, a SchahlLED case study involving <a href=\"https:\/\/www.kraussmaffei.com\/en\/home\" target=\"_blank\" rel=\"noreferrer noopener\">KraussMaffei<\/a> reported an 85% reduction to energy costs through installing Thorlux lighting. The customer apparently enjoyed a \u201c<em>high return on investment with a payback period of less than 3 years<\/em>\u201c:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-8f290df3\"><img decoding=\"async\" class=\"gb-image gb-image-8f290df3\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2024\/02\/TFW-FY-2023-website-SchahlLED-krauss-maffei.png\" alt=\"\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>TFW purchased 80% of SchahlLED for \u20ac14.6m plus an \u201c<em>additional amount<\/em>\u201d based upon SchahlLED\u2019s Ebitda during the comparable FY:\u00a0<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[RNS 2022]\u00a0 \u201c<em>FW Thorpe has paid an initial consideration of \u20ac14.6m (circa \u00a312.8m) and <\/em><strong><em>could pay an additional amount to be determined by SchahlLED\u2019s EBITDA performance in the year ending 30 June 2023<\/em><\/strong><em>.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>TFW has confirmed to me the \u201c<em>additional amount<\/em>\u201d came to \u20ac1.2m and was paid during this FY and disclosed within the cash flow statement under \u2018payment of exit earn-out of a purchased subsidiary\u2019 (\u00a3606k) and \u2018payment of non-controlling interests\u2019 (\u00a3452k).<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY clarified the outstanding 20% SchahlLED earn-out, which is:\n<ul class=\"wp-block-list\">\n<li>Estimated using a \u201c<em>forecast EBITDA assumption<\/em>\u201c;<\/li>\n<li>Currently expected to be \u20ac6.3m, and:<\/li>\n<li>Set to be paid from September 2025.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\"><em>\u201c<\/em><strong><em>Lumen (SchahlLED) non-controlling interests<br \/><\/em><\/strong><strong><em>The Group has the obligation to purchase the remaining shares of the Lumen business from September 2025<\/em><\/strong><em>. To calculate the expected repurchase value the Group has considered the recent and budgeted future performance of the Lumen business analysing forecasted EBITDA, revenue and costs upon which the obligation is based. This analysis is reviewed and updated each year and, if necessary, adjustments are made to ensure that the provision value reflects the best current estimate of settlement with movements recognised in the profit or loss. <\/em><strong><em>If the forecast EBITDA assumption were to increase by 5%, the resulting contingent consideration would increase by \u00a3267,000<\/em><\/strong><em>. \u201c<br \/>\u2026<br \/>\u201cIncluded within other payables are commitment to purchase the remaining outstanding shares in Electrozemper S.A. of \u20ac6,000,000 (\u00a35,087,000) (2023: \u20ac12,623,000 (\u00a310,853,000)) and <\/em><strong><em>Lumen Intelligence Holding GmbH [SchahlLED] of \u20ac6,327,000 (\u00a35,362,000)<\/em><\/strong><em> (2023: \u20ac7,508,000 (\u00a36,455,000)\u201d<\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>SchahlLED\u2019s FY revenue of \u00a315.4m implied its H2 revenue dived 38% to \u00a36.3m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-7f119208\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-7f119208\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart09.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart09.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart09-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>This FY blamed a difficult domestic economy for SchahlLED\u2019s reduced performance:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>SchahlLED\u2019s main market, <\/em><strong><em>Germany, is in recession<\/em><\/strong><em>, and therefore its <\/em><strong><em>operating profit has reduced slightly<\/em><\/strong><em>; nevertheless, the business is making a healthy contribution.<br \/>\u2026<br \/>A new IT system was introduced and Thorlux Germany personnel integrated into SchahlLED, distracting effort for parts of the year.<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>This FY did not formally disclose SchahlLED\u2019s profitability, but did indicate SchahlLED and Zemper combined to deliver a \u00a34.8m adjusted FY operating profit:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>Both of our most recent acquisitions, Zemper and SchahlLED, made positive contributions of <\/em><strong><em>\u00a34.8m (2023: \u00a34.1m),<\/em><\/strong><em> before amortisation of acquisition, related intangible assets.<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>This FY also stated Zemper reported a \u00a32.9m adjusted operating profit versus \u00a32.8m for the comparable FY (see <a href=\"#zemper\">Zemper<\/a>).<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>SchahlLED therefore seemed to earn a \u00a31.9m profit (i.e. \u00a34.8m less \u00a32.9m) for this FY versus \u00a31.3m (i.e. \u00a34.1m less \u00a32.8m) for the comparable FY.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>SchahlLED\u2019s profit advancing from \u00a31.3m to \u00a31.9m contradicted other text from this FY that indicated a \u201c<em>slightly<\/em>\u201d lower subsidiary profit\u2026<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>SchahlLED\u2019s main market, Germany, is in recession, and therefore <\/em><strong><em>its operating profit has reduced slightly<\/em><\/strong><em>; nevertheless, the business is making a healthy contribution.<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>\u2026and also contradicted text from the comparable FY that had said SchahlLED\u2019s profit was \u00a32.3m (and not \u00a31.3m):<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[FY 2023] \u201c<em>In the year, SchahlLED added nine months of revenue to the consolidated figures of \u00a316.9m and <\/em><strong><em>operating profit of \u00a32.3m before acquisition adjustments<\/em><\/strong><em>.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>TFW has confirmed to me SchahlLED\u2019s profit during the comparable FY had incurred \u201c<em>a couple of one-off adjustments, reducing results from circa \u00a32.0m to \u00a31.3m<\/em>\u201c.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Excluding SchahlLED, FY Thorlux revenue appeared to drop 1% to \u00a384m but gain 5% to \u00a347m during H2:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-acdea706\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-acdea706\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart09.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart09.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart09-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Note that within the chart above, inter-company sales from Thorlux to SchahlLED are included within Thorlux\u2019s revenue for FYs 2020, 2021 and 2022, but are excluded for FYs 2023 and 2024 following the SchahlLED purchase.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>TFW has confirmed to me inter-company sales from Thorlux to SchahlLED were \u00a34.2m during this FY. I calculate the figure for the comparable FY to be \u00a34.1m, which may suggest SchahlLED\u2019s lower revenue for this FY could be due to selling less non-Thorlux equipment.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Thorlux\u2019s flat FY revenue but higher FY profit reflected a welcome margin improvement, which may have been supported by:\n<ul class=\"wp-block-list\">\n<li>Now selling direct into Germany through SchahlLED, and\/or;<\/li>\n<li>Not incurring the same \u201c<em>one-off adjustments\u201d <\/em>that TFW told me SchahlLED had incurred during the comparable FY<em>.<\/em><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY showed Thorlux enjoying a 20% adjusted operating margin, with a super 24% reported for H2:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-e619a1ad\"><img loading=\"lazy\" decoding=\"async\" width=\"1060\" height=\"450\" class=\"gb-image gb-image-e619a1ad\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart10.png 700w, (\u00a319.3m) cost for SchahlLED<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>SchahlLED therefore appears to have been acquired at 10x the subsidiary\u2019s\u00a0 \u00a31.9m adjusted operating profit for this FY.<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-4aabafc9 gb-headline-text\" id=\"lightronics-famostar\"><strong>Lightronics and Famostar<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s Dutch businesses \u2014 <a href=\"https:\/\/lightronics.eu\/\" target=\"_blank\" rel=\"noreferrer noopener\">Lightronics<\/a> and <a href=\"https:\/\/famostar.nl\/\" target=\"_blank\" rel=\"noreferrer noopener\">Famostar<\/a> \u2014 represented 28% of group profit during this FY.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Lightronics manufactures mostly street lighting and was acquired during FY 2015 for an initial \u00a38.3m that included a \u00a31.9m debt repayment.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Famostar manufactures mostly emergency lighting and was acquired during FY 2018 for an initial \u00a36.3m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-592ff2aa\"><img decoding=\"async\" class=\"gb-image gb-image-592ff2aa\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2023\/08\/TFW-famostar-productfamilies.png\" class=\"wp-block-list\">\n<li>During the 2024 AGM, Mr Haafkens made the following points about his time at TFW:\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s board is \u201c<em>very easy<\/em>\u201d to work with;<\/li>\n<li>He supports TFW\u2019s philosophy of \u201c<em>buying good companies with good management and making them stronger through cooperation<\/em>\u201c;<\/li>\n<li>Competitors in contrast buy businesses but instead can \u201c<em>destroy the organisation<\/em>\u201c;<\/li>\n<li>He sold the Dutch businesses to TFW \u201c<em>too cheap<\/em>\u201c, which was \u201c<em>not very Dutch<\/em>\u201c;<\/li>\n<li>The Dutch businesses have been a \u201c<em>really good investment<\/em>\u201d for TFW, due in part to the way the integration has been managed, and;<\/li>\n<li>TFW has a \u201c<em>great model that you do not see very often, but it seems to work extremely well<\/em>\u201c.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The past few years have witnessed TFW\u2019s main board slimmed down from nine directors to six, which may allow Mr Haafkens and his private-equity background to exert greater influence over the group\u2019s direction (see <a href=\"#boardroom-acquisition-strategy-kpis\">Boardroom: acquisition strategy and KPIs<\/a>).<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-ffc06dc3 gb-headline-text\" id=\"zemper\"><strong>Zemper<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>Encouraged by the success of the Lightronics and Famostar acquisitions, TFW purchased Spanish emergency-lighting specialist <a href=\"https:\/\/zemper.com\/en\/\" target=\"_blank\" rel=\"noreferrer noopener\">Zemper<\/a> during October 2021:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-53e487f8\"><img decoding=\"async\" class=\"gb-image gb-image-53e487f8\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2024\/08\/TFW-Zemper-products-Spanish.png\" alt=\"\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Prominent buildings employing Zemper\u2019s lighting include:\n<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[RNS 2021] \u201c<em>FW Thorpe has paid an initial consideration of <\/em><strong><em>\u20ac20.3m<\/em><\/strong><em> (circa \u00a317.5m), plus an amount for certain balance sheet items. An additional <\/em><strong><em>\u20ac1.1m<\/em><\/strong><em> will be paid subject to EBITDA performance in 2022<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>A further 13.5% was purchased for \u20ac6.1m during the comparable FY:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[H1 2023] \u201c<em>On 12 September 2022, the Group purchased a further<\/em><strong><em> 13.5%<\/em><\/strong><em> of the share capital of Electrozemper S.A. with a cash payment of <\/em><strong><em>\u00a35.3m <\/em><\/strong><strong><em>(\u20ac6.1m)<\/em><\/strong><em>, as part of its commitment to acquire the remaining shares.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>Another 13.5% was then purchased for \u20ac5.0m during the preceding H1:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[H1 2024] \u201c<em>On 3 October 2023, the Group purchased a further <\/em><strong><em>13.5%<\/em><\/strong><em> of the share capital of Electrozemper S.A. with a cash payment of <\/em><strong><em>\u00a34.3m (\u20ac5.0m)<\/em><\/strong><em>, as part of its commitment to acquire the remaining shares.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>Paying \u20ac1.1m less for 13.5% during H1 2024 versus H1 2023 does not suggest Zemper\u2019s performance has lived up to expectations.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY clarified the remaining 10% Zemper earn-out, which is:\n<ul class=\"wp-block-list\">\n<li>Now reduced from \u20ac7.6m to \u20ac6.0m;<\/li>\n<li>Estimated using a \u201c<em>forecast EBITDA assumption<\/em>\u201c, and;<\/li>\n<li>Set to be paid from September 2025:<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<strong><em>Zemper non-controlling interests<\/em><\/strong><strong><em>The Group has the obligation to purchase the remaining shares of the Zemper business from September 2025. <\/em><\/strong><em>To calculate the expected repurchase value the Group has considered the recent and budgeted future performance of the Zemper business analysing forecasted EBITDA, revenue and costs upon which the obligation is based. This analysis is reviewed and updated each year and, if necessary, adjustments are made to ensure that the provision value reflects the best current estimate of settlement with movements recognised in the profit or loss. <\/em><strong><em>If the forecast EBITDA assumption were to increase by 5%<\/em><\/strong><em>, <\/em><strong><em>the resulting deferred consideration would increase by \u00a3258,000.<\/em><\/strong><em><br \/>\u2026<br \/><\/em><strong><em>Included within other payables are commitment to purchase the remaining outstanding shares in Electrozemper S.A. of <\/em><\/strong><strong><em>\u20ac6,000,000 <\/em><\/strong><strong><em>(\u00a35,087,000) (2023: \u20ac12,623,000 (\u00a310,853,000)).<\/em><\/strong><em>..<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>The remaining 10% earn-out reducing from \u20ac7.6m to \u20ac6.0m was reflected by the \u2018changes in fair value of redemption liability in respect of acquisition of Zemper Group\u2019 of \u00a31.4m taken through the income statement:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-c907e4e9\"><img loading=\"lazy\" decoding=\"async\" width=\"1070\" height=\"440\" class=\"gb-image gb-image-c907e4e9\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-expenses1.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-expenses1.png 1070w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-expenses1-300x123.png 300w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-expenses1-1024x421.png 1024w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-expenses1-768x316.png 768w\" sizes=\"auto, (max-width: 1070px) 100vw, 1070px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>In order to \u2018balance\u2019 the accounts, reductions to earn-outs are recognised as gains through the income statement while increases to earn-outs are recognised as losses through the income statement.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>I don\u2019t know whether TFW\u2019s estimated \u20ac6m to purchase the remaining 10% of Zemper is realistic. After all, \u20ac5m was paid to acquire an additional 13.5% during this FY.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY described Zemper\u2019s progress as \u201c<em>solid<\/em>\u201c, with the division still representing approximately 10% of the group after FY revenue was unchanged at \u00a319.4m and FY adjusted operating profit improved 3% to \u00a32.9m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-d82e25dc\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-d82e25dc\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart14.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart14.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart14-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<figure class=\"gb-block-image gb-block-image-39528498\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-39528498\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart15.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart15.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart15-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Although Zemper\u2019s H2 revenue slipped 2% to \u00a310.4m, the division\u2019s H2 adjusted operating profit climbed a commendable 21% to \u00a31.9m.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The H2 profit advance reflected an H2 adjusted margin of 19% \u2014 much better than the 10% H1 adjusted margin and perhaps an indication Zemper\u2019s return on sales can one day match that of Thorlux and the Dutch operations:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-8dc45502\"><img loading=\"lazy\" decoding=\"async\" width=\"1060\" height=\"450\" class=\"gb-image gb-image-8dc45502\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment4.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment4.png 1060w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment4-300x127.png 300w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment4-1024x435.png 1024w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment4-768x326.png 768w\" sizes=\"auto, (max-width: 1060px) 100vw, 1060px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Perhaps Zemper\u2019s work with other TFW subsidiaries helped its H2 margin. The comparable FY had suggested Zemper\u2019s \u201c<em>synergy projects<\/em>\u201d might bear fruit during this FY:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[FY 2023] \u201c<strong><em>Synergy projects continue, and the Zemper team has added some significant emergency lighting knowledge and technical expertise to the Group<\/em><\/strong><em>. Projects include in-sourcing of troublesome plastic components, standardisation of product offerings across multiple territories, and continual development of shared product ideas. <\/em><strong><em>These synergies take time to implement, but the Group expects to see some benefit later in the new financial year<\/em><\/strong>.\u201d<\/p>\n<ul class=\"wp-block-list\">\n<li>This FY referred to Zemper collaborating with other group subsidiaries through the \u2018<a href=\"https:\/\/www.thorlux.co.uk\/products\/firefly\" target=\"_blank\" rel=\"noreferrer noopener\">Firefly<\/a>\u2018 project:\u00a0<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>Zemper continues to make good contributions and started the new financial year with a good order book, supported by its host of new products. <\/em><strong><em>It is also contributing to some Group collaboration projects <\/em><\/strong><em>where several companies have pooled know-how and developed new products with shared, and hence reduced, costs.<\/em><\/p>\n<p><strong><em>The Firefly project was a collaboration, led by Zemper in Spain<\/em><\/strong><em>, with engineers from all emergency lighting businesses in the Group.<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>Firefly is a \u201c<em>pivotal<\/em>\u201d emergency lighting system that includes \u201c<em>enhanced<\/em>\u201d lithium-battery technology and \u201c<em>more optical distribution variations to help eliminate or reduce risk to escapees<\/em>\u201c:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-e5bbe0cc\"><img loading=\"lazy\" decoding=\"async\" width=\"1136\" height=\"536\" class=\"gb-image gb-image-e5bbe0cc\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-firefly.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-firefly.png 1136w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-firefly-300x142.png 300w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-firefly-1024x483.png 1024w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-firefly-768x362.png 768w\" sizes=\"auto, (max-width: 1136px) 100vw, 1136px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>The comparable FY noted Zemper\u2019s \u201c<em>state-of-the-art manufacturing equipment<\/em>\u201c:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[FY 2023]<em> \u201cZemper\u2019s facility in Spain is a credit to its founding family\u2019s professionalism. <\/em><strong><em>The company is very self-sufficient<\/em><\/strong><em>, with ownership of all its intellectual property, and with its <\/em><strong><em>own laboratory test facilities<\/em><\/strong><em> and <\/em><strong><em>state-of-the-art manufacturing equipment<\/em><\/strong><em>.\u201d<\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>Board remarks at the 2024 AGM confirmed Zemper\u2019s impressive facilities:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[AGM 2024] \u201c<em>When we bought Zemper, <\/em><strong><em>we were blown away<\/em><\/strong><em> by the technology that they have within their company \u2014 the software capabilities and the automation of manufacturing.<\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>Attendees at the 2024 AGM were told Firefly manufacturing would be \u201c<em>moving out to Zemper in the Spring<\/em>\u201c.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Board remarks at the 2024 AGM revealed Zemper winning a project for Brussels Airport. Attendees were told:\n<ul class=\"wp-block-list\">\n<li>The project involved \u201c<em>dynamic emergency lighting<\/em>\u201c;<\/li>\n<li>Unlike a conventional emergency-exit sign pointing towards a fixed direction, such \u2018dynamic\u2019 lighting uses electronic screens that can be controlled to display the most suitable escape route, and;<\/li>\n<li>These \u2018dynamic\u2019 signs could sell for up to \u20ac600 each versus \u20ac50-\u20ac100 for a conventional emergency-exit sign.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Certainly TFW\u2019s outlay to purchase Zemper suggests a fair amount of successful projects and\/or synergies are expected from the Spanish subsidiary.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>To date TFW has paid \u20ac32.5m (\u20ac20.3m + \u20ac1.1m + \u20ac6.1m + \u20ac5.0m) for 90% of Zemper, and paying TFW\u2019s estimated \u20ac6.0m for the remaining 10% would take the total Zemper purchase to \u20ac38.5m or approximately \u00a335.6m.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>A \u00a335.6m total purchase versus this FY\u2019s group adjusted operating profit of \u00a332m makes Zemper a very significant acquisition.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>A \u00a335.6m total purchase is 12x this FY\u2019s \u00a32.9m Zemper adjusted operating profit.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>For perspective, the \u00a330m paid for the Dutch subsidiaries is 3.4x their \u00a38.8m adjusted operating profit for this FY. \u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Despite this FY reporting the \u00a31.4m earn-out reduction for Zemper, the Spanish operation has progressed during its three years within TFW.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>At the time of purchase, Zemper\u2019s Ebitda was \u20ac4.2m and was \u00a34.6m or approximately \u20ac5.5m (+30%) during this FY.<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-c5a2d190\"><a href=\"https:\/\/www.youtube.com\/watch?v=kXY37j6FGNg\" target=\"_blank\" rel=\"noopener noreferrer\"><img decoding=\"async\" class=\"gb-image gb-image-c5a2d190\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2024\/08\/TFW-Zemper-youtube-still.png \" alt=\"\"\/><\/a><\/figure>\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/www.ratio.nl\/en\" target=\"_blank\" rel=\"noreferrer noopener\">Ratio Electric<\/a> is headquartered within the Netherlands and develops electric-vehicle charging systems:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-250fec4a\"><img decoding=\"async\" class=\"gb-image gb-image-250fec4a\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2023\/01\/TFW-website-ratio.png\" alt=\"\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Electric-vehicle charging is a departure from TFW\u2019s lighting expertise. At the time of the Ratio investment, TFW said:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[RNS 2021] \u201c<em>This is an exciting opportunity for the Group. <\/em><strong><em>FW Thorpe\u2019s know-how in electrical engineering, manufacturing and lighting<\/em><\/strong><em>, combined with Ratio\u2019s experience in electrical vehicle charging will allow the introduction of new products into the UK market as well as supporting growth in Ratio\u2019s existing markets.<\/em><\/p>\n<p><em>We see <\/em><strong><em>similarities in technology and engineering skills,<\/em><\/strong><em> giving the Group the opportunity to diversify into new areas of engineering with <\/em><strong><em>high growth potential<\/em><\/strong>.\u201d<\/p>\n<ul class=\"wp-block-list\">\n<li>Ratio\u2019s \u201c<em>high growth potentia<\/em>l\u201d seems only to have brought high costs.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>TFW acquired 50% of Ratio during December 2021 for \u00a35.8m, with a loan note issued for \u00a30.9m \u201c<em>to help fund the development of [the] business<\/em>\u201d.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The comparable FY then revealed the loan note had increased to \u00a31.3m, with a further \u00a31.3m loan note issued to Ratio\u2019s UK operation.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY revealed the loan note issued to Ratio\u2019s UK operation had extended from \u00a31.3m to \u00a32.2m:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\"><strong><em>Ratio Holding B.V. and Ratio EV Limited <\/em><\/strong><br \/><em>Pursuant to the investment in Ratio Holding B.V., the Group has issued loan notes of \u20ac1,500,000 (\u00a31,272,000) (2023: \u20ac1,500,000 (\u00a31,290,000)) to help fund the development of this business. With accrued interest, the balance at 30 June 2024 is \u20ac1,626,000 (\u00a31,379,000) (2023: \u20ac1,566,000 (\u00a31,347,000)). <\/em><strong><em>In addition, the Group has issued loan notes of \u00a32,165,000 (2023: \u00a31,250,000) to Ratio EV Limited,<\/em><\/strong><em> a wholly-owned subsidiary of Ratio Holding B.V., to help fund the development of its business. With accrued interest, the balance at 30 June 2024 is \u00a32,245,000 (2023: \u00a31,266,000).<\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>Issuing extra loan notes is not encouraging, and sure enough Ratio recorded a \u00a31.7m loss for this FY following a \u00a31.0m loss for the comparable FY:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>In the year to 30 June 2024, the joint venture, Ratio Holdings B.V. generated a loss after tax of \u20ac1,987,000 <\/em><strong><em>(\u00a31,706,000)<\/em><\/strong><em> (2023: \u20ac1,199,000 <\/em><strong><em>(\u00a31,041,000))<\/em><\/strong><em>.<\/em><\/p>\n<p><strong><em>The Group has recognised its 50% share of loss <\/em><\/strong><em>of \u20ac993,000 <\/em><strong><em>(\u00a3853,000<\/em><\/strong><em>) (2023: \u20ac599,000 <\/em><strong><em>(\u00a3520,000))<\/em><\/strong><em> in the Income Statement, plus changes in fair value of deferred consideration of \u20ac31,000 (\u00a327,000)<\/em>.\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s 50% share of Ratio\u2019s FY loss was \u00a3826k, which indicated the H2 loss was encouragingly reduced to \u00a3229k following the \u00a3597k loss for H1:\u00a0<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-694ccbe1\"><img loading=\"lazy\" decoding=\"async\" width=\"1060\" height=\"310\" class=\"gb-image gb-image-694ccbe1\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-ratio.png\" alt=\"\" has-background\">\u201c<strong><em>The Group\u2019s joint venture with Ratio Electric has struggled to make good contributions<\/em><\/strong><em>, but it has achieved significant growth in its Smart charger products, and it has established the Ratio UK company design and production facilities and product range. <\/em><strong><em>The io7, Ratio\u2019s adaptation of the Thorlux Passway lighting bollard to integrate EV charging and lighting, has started to sell in much larger numbers<\/em><\/strong><em>, and even featured on the BBC\u2019s One Show and a high profile electrical installers\u2019YouTube channel. <\/em><strong><em>New projects and companies always seem to take longer to start and be harder to establish than one first believes<\/em><\/strong><em>.<\/em>\u201d\u00a0<\/p>\n<figure class=\"gb-block-image gb-block-image-f45606c9\"><img decoding=\"async\" class=\"gb-image gb-image-f45606c9\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2024\/02\/TFW-website-ratio-charger-car.jpeg\" alt=\"\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>This FY showed total loans to Ratio standing at \u00a33.4m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-3270a29e\"><img loading=\"lazy\" decoding=\"async\" width=\"1070\" height=\"390\" class=\"gb-image Attendees were told:\n<ul class=\"wp-block-list\">\n<li>Due to \u201c<em>complaints<\/em>\u201d of TFW \u201c<em>having too much cash<\/em>\u201c, the board looked for activities beyond lighting but which had some synergies with the group\u2019s expertise;<\/li>\n<li>The logic was to combine TFW\u2019s lighting technology with EV charging in order to \u201c<em>develop a big business<\/em>\u201c;<\/li>\n<li>A lighting competitor coincidentally created an EV-charging business at the same time, and has performed much better, and;<\/li>\n<li>Ratio has recently received a \u201c<em>breakthrough<\/em>\u201d order with a distribution company.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-74b27a7e gb-headline-text\" id=\"other-companies\"><strong>Other companies\u00a0<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s Other companies consist of:\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/www.trtlighting.co.uk\/\" target=\"_blank\" rel=\"noreferrer noopener\">TRT Lighting<\/a>, which supplies lighting for roads and tunnels, and earns revenue of approximately \u00a39m;<\/li>\n<li><a href=\"https:\/\/www.philippayne.co.uk\/\" target=\"_blank\" rel=\"noreferrer noopener\">Philip Payne<\/a>, <a href=\"https:\/\/www.solite-europe.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">Solite<\/a> and <a href=\"https:\/\/portlandlighting.co.uk\/\" target=\"_blank\" rel=\"noreferrer noopener\">Portland<\/a>,  which between them supply emergency lighting, cleanroom lighting and shop lighting to earn combined revenue of approximately \u00a311m, and;<\/li>\n<li>A handful of overseas Thorlux offices.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY made clear the combined efforts of the Other companies were not satisfactory:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<strong><em>The Board would like to see better contributions from all its smaller UK companies \u2013 especially, but not only, TRT Lighting.<\/em><\/strong><em> All these smaller companies have undergone changes to their subsidiary board structures in recent times, and improvements to, or diversification of, their product ranges where required. The Board looks forward to these changes enabling bigger contributions to Group profits from these businesses in the future.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>The largest Other subsidiary, TRT Lighting, suffered a poor FY with sales down 15% leading to losses:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<strong><em>TRT Lighting was loss-making in the year, due to a revenue decline of 15%<\/em><\/strong><em>. A new sales director and a whole new sales team are in place with targets to increase new business into local authority regions, which is currently sporadic. TRT Lighting, as a UK designer and manufacturer of street lighting, should encourage all UK local authorities to buy its excellent locally made sustainable products. To assist, investment in products has continued, with further investment in marketing resources. <\/em><strong><em>The TRT board looks forward to the company\u2019s improvement in performance, but is also cognisant of the time it will take to bed in new salespeople. Performance may get a little worse before it improves for the long term.<\/em><\/strong>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>FY TRT Lighting revenue of \u00a38.5m was within the \u00a38.3m-\u00a38.8m range reported between FYs 2015 and 2019.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Total FY Other revenue declined 2% to \u00a319m while total FY Other adjusted operating profit slumped 37% to \u00a30.7m:\u00a0<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-4e315093\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-4e315093\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart16.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart16.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart16-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<figure class=\"gb-block-image gb-block-image-123a1d44\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-123a1d44\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart17.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart17.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart17-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<p class=\"has-text-align-center\"><em><sub>(Includes Famostar for FY 2018 and H1 2019)<\/sub><\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>H2 was particularly disappointing, showing Other adjusted profit down 50% to \u00a30.4m. \u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The sub-\u00a31m FY adjusted profit leaves the Other subsidiaries as a sideshow to Thorlux, the Dutch businesses and Zemper.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>I speculate Philip Payne, Solite, Portland and possibly TRT are kept on by TFW primarily because they supply products and services to the group\u2019s larger operations:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-a74737fd\"><img loading=\"lazy\" decoding=\"async\" width=\"1060\" height=\"450\" class=\"gb-image gb-image-a74737fd\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment5.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment5.png 1060w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment5-300x127.png 300w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment5-1024x435.png 1024w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-segment5-768x326.png 768w\" sizes=\"auto, (max-width: 1060px) 100vw, 1060px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Board remarks at the 2024 AGM provided some insight into the prospects of the Other companies. Attendees were told:\n<ul class=\"wp-block-list\">\n<li>\u201c<em>We need them to step up their game<\/em>\u201c;<\/li>\n<li>Management changes have been made to \u201c<em>stir them up<\/em>\u201c;<\/li>\n<li>All have a \u00a35m minimum revenue target [versus current revenue of \u00a34m or less for Solite, Portland and Philip Payne];<\/li>\n<li>\u201c<em>There\u2019s nothing stopping them. We have the cash to invest, we have the market to go at<\/em>. <em>It\u2019s just a case of them managing their situation more professionally.\u201d<\/em>;<\/li>\n<li>Portland\u2019s road-sign lighting could have potential for \u201c<em>tens of millions<\/em>\u201c, and;<\/li>\n<li>The plan is to develop the Other companies, rather than sell or close them.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-10264bf6 gb-headline-text\" id=\"financials-margin-employees\"><strong>Financials: margin and employees<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>The aforementioned \u201c<em>impressive results<\/em>\u201d from TFW\u2019s procurement team alongside the \u201c<em>targeted reduction of material spend<\/em>\u201d was reflected by TFW registering an FY 49% gross margin \u2014 the highest since at least FY 1996:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-cc781031\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-cc781031\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart18.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart18.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart18-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Within TFW\u2019s cost of sales, the cost of inventories expensed during this FY declined a remarkable 18% to \u00a360m \u2014 the equivalent of 34% of FY revenue and by far the lowest proportion since TFW began disclosing cost of inventories during FY 2010:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-4c5f80ba\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"401\" class=\"gb-image gb-image-4c5f80ba\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart19.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart19.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart19-300x172.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>The lower cost of inventories could be maintained by Zemper manufacturing more components for wider group use:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>Zemper\u2019s recent investment into injection moulding capacity has started to come to the fore in recent projects<\/em><strong><em>. Certain Group components, which would have been sourced externally, are now starting to be manufactured at Zemper, reducing both the cost<\/em><\/strong><em> and certain risk factors to the Group.<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>The higher gross margin was counterbalanced slightly by distribution costs and administration expenses climbing 10% to \u00a353m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-3ee8dd52\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-3ee8dd52\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart21.png\" alt=\"\" class=\"wp-block-list\">\n<li>Distribution costs and administration expenses absorbed 31% of revenue \u2014 equalling the record proportion set during FY 2021:<\/li>\n<\/ul>\n<figure class=\"wp-block-list\">\n<li>TFW has demonstrated impressive long-term employee management by matching higher staff costs with greater workforce productivity.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Between FY 2014 and this FY for example, the total cost per employee has increased 54% (to \u00a354k) while revenue per employee has increased 53% (to \u00a3183k).<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>On the employee front, Thorlux has sustained its sales per head above a useful \u00a3200k\u2026<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-fbabbbad\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-fbabbbad\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart26.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart26.png 700w, or \u00a3226k, and;<\/li>\n<li>Famostar operated with 31 people and reported revenue per employee of \u20ac219k or \u00a3196k.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-871293c9 gb-headline-text\" id=\"financials-balance-sheet-cash-flow\"><strong>Financials: balance sheet and cash flow<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>This FY reiterated TFW\u2019s policies to \u201c<em>maintain a strong capital basis\u201d <\/em>and<em> \u201cnot utilise debt\u201d<\/em>:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<strong><em>The Group\u2019s policy has been to maintain a strong capital basis in order to maintain investor, customer, creditor and market confidence<\/em><\/strong><em>. This sustains future development of the business, safeguarding the Group\u2019s ability to continue as a going concern in order to provide returns for shareholders and benefits for other stakeholders.<br \/>\u2026<br \/><\/em><strong><em>The Group has a long-standing policy not to utilise debt within the business<\/em><\/strong><em>, providing a robust capital structure even within the toughest economic conditions. Attendees were told:\n<ul class=\"wp-block-list\">\n<li>There is no particular level of cash that triggers a special payment;<\/li>\n<li>Special payments depend on \u201c<em>what else is going on<\/em>\u201c, not least acquisitions, and;<\/li>\n<li>\u201c<em>We look at the cash position periodically and take a view on it.<\/em>\u201c<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>One balance sheet entry commendably reduced during this FY was stock, which declined from \u00a333m to \u00a329m to perhaps reflect the aforementioned \u201c<em>impressive results<\/em>\u201d from TFW\u2019s procurement team:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-ceecb3ac\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-ceecb3ac\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart29.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart29.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart29-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Stock finished this FY equivalent to 16.5% of revenue \u2014 the lowest level since FY 2006 (15.8%).<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Stock turn also dipped below 2x for the first time since FY 2020:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-5d7e03d6\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-5d7e03d6\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart30.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart30.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart30-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>A stock turn of 2x implies the raw materials, purchased components and finished goods sit in the warehouse for an average six months before they are sold.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Six months is not a short time for holding stock, but this FY did say \u201c<em>strategic stock levels of certain components<\/em>\u201d were \u201c<em>still carried for protection<\/em>\u201c.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s stock can become obsolete relatively quickly. This FY disclosed the expected amount of stock to be written down increased by \u00a31.3m to \u00a36.5m:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>The value of the inventory provision is <\/em><strong><em>\u00a36,467,000 (2023: \u00a35,122,000) <\/em><\/strong><em>for the Group and \u00a33,737,000 (2023: \u00a32,785,000) for the Company.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>Cash flow was very satisfactory during this FY, with adjusted earnings of \u00a326m translating favourably into free cash of \u00a334m.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Very welcome cash movements during this FY included:\n<ul class=\"wp-block-list\">\n<li>A working-capital <em><span style=\"text-decoration: underline;\">inflow<\/span><\/em> of \u00a37m, supported mostly by the reduction to stock levels, and;<\/li>\n<li>Cash capex of \u00a36.8m matching the \u00a36.8m depreciation and amortisation charge (excluding IFRS 16 depreciation and acquisition-related amortisation):<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-bf0d8996\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-bf0d8996\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart31.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart31.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart31-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>FY free cash of \u00a334m funded the aforementioned \u20ac1.2m (\u00a31.1m) \u201c<em>additional amount<\/em>\u201d paid for SchahlLED, the aforementioned \u20ac5m (\u00a34.3m) spent purchasing 13.5% of Zemper, the aforementioned \u00a31m loaned to Ratio Electric, some \u00a32m spent on additional tree-planting land and nearly \u00a38m paid as dividends.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Cash flow on a five-year view appears very respectable:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-342b1036\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-342b1036\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart32.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart32.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart32-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Between FY 2020 and this FY, cash flow from operations totalled \u00a3158m and (impressively) required no additional working-capital investment, supported capex of \u00a337m and incurred tax of \u00a323m\u2026\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026which allowed \u00a359m to be spent on acquisitions and \u00a340m to be paid as dividends\u2026<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026and left the cash position only \u00a34m lighter.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s five-year \u00a337m cash capex compares to the five-year \u00a330m depreciation and amortisation expensed against earnings.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The \u00a37m difference is due mostly to TFW purchasing freehold properties (\u00a38m since FY 2020), the value of which ought to be maintained over time but incurs only a small depreciation expense every year.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Underlining a conservative depreciation policy, TFW declares consistent \u2018profit on disposal of property, plant and equipment\u2019 entries:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-5fe4dd81\"><img loading=\"lazy\" decoding=\"async\" width=\"1070\" height=\"440\" class=\"gb-image gb-image-5fe4dd81\" eventual disposal proceeds.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s capex includes capitalised R&amp;D, the amount for which carried on the balance sheet has increased by only \u00a33m to \u00a36m since FY 2020 and may have flattered adjusted operating profit in the meantime by a lowly 3%. scheme<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s defined-benefit pension scheme is thankfully not too problematic.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY showed pension assets exceeding pension liabilities by \u00a34m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-9438bbbf\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"wp-block-list\">\n<li>TFW\u2019s scheme has reported scheme assets exceeding scheme liabilities every year since FY 2011.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The comparable FY showed annual benefits of \u00a33.5m being paid from scheme assets that had been reduced to \u00a331m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-1b550636\"><img decoding=\"async\" class=\"gb-image gb-image-1b550636\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2024\/08\/TFW-H1-2024-AR-2023-results-pension-assets-and-benefits.png\" alt=\"\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>With contributions of only \u00a30.8m, the scheme had looked to require an ambitious 9% annual return to sustain benefits of \u00a33.5m or risk its assets facing permanent erosion.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>But this FY reported benefits paid of \u00a32.0m from scheme assets that increased to \u00a332m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-c9bd1ed1\"><img loading=\"lazy\" decoding=\"async\" width=\"1080\" height=\"350\" class=\"gb-image gb-image-c9bd1ed1\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-pension-assets.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-pension-assets.png 1080w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-pension-assets-300x97.png 300w, class=\"wp-block-list\">\n<li>With contributions of \u00a30.7m, the scheme now looks to require a more achievable 4% annual return to sustain benefits of \u00a32.0m or risk its assets facing permanent erosion.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Mind you, the general trend for the scheme\u2019s benefit payments is up while the general trend for the scheme\u2019s contributions is down:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-15c37dff\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-15c37dff\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart36.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart36.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart36-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>This FY\u2019s cash at \u00a353m and adjusted operating profit of \u00a332m should be able to easily mitigate any adverse movements to the scheme\u2019s assets and projected liabilities.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>For some perspective on the long-term cost of defined-benefit pensions, TFW and its employees have contributed an aggregate \u00a322m into their scheme between FYs 2007 and this FY\u2026<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026while the scheme\u2019s assets have advanced by \u00a318m during the same 17 years after aggregate investment gains of \u00a323m were more than absorbed by aggregate benefits paid of \u00a327m.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The scheme\u2019s next triennial funding review will be calculated as at 30 June 2024. The resultant contribution recommendation will provide shareholders the best insight into the scheme\u2019s financial requirements.<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-07ce80b2 gb-headline-text\" id=\"boardroom-composition\"><strong>Boardroom: composition<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s boardroom has experienced a number of changes during the last few years.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The aforementioned Frans Haafkens was appointed as the group\u2019s \u201c<em>first recognised independent<\/em>\u201d non-executive during October 2022.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Three directors then retired during 2023 and 2024, which slimmed the main board down from nine directors to six:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-84c617f3\"><img loading=\"lazy\" decoding=\"async\" width=\"790\" height=\"420\" class=\"gb-image gb-image-84c617f3\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-directors1.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-directors1.png raised eyebrows last year when the roles of chief executive and group financial director were <em><span style=\"text-decoration: underline;\">combined<\/span><\/em>:\u00a0<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[RNS 2024]<em> \u201cFW Thorpe Plc announces the following changes to the board structure, to become effective from 1 July 2024:<\/em><\/p>\n<p><strong><em>Mike Allcock will step down as Executive Chairman and Joint Chief Executive and take up the role of Non-Executive Chairman<\/em><\/strong><em>.<\/em><\/p>\n<p><strong><em>The position of Chief Executive will be assumed by Craig Muncaster whilst retaining the role of Group Financial Director.<\/em><\/strong><em>\u00a0 Craig has been Joint Chief Executive since 2017 and Group Financial Director since 2010.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>I still can\u2019t recall a quoted business the size of TFW \u2014 market cap of \u00a3369m, revenue of \u00a3176m and adjusted operating profit of \u00a332m \u2014 deciding to amalgamate its two top executive positions.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>TFW has always employed a somewhat unconventional board.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>For example, few quoted businesses employ joint chief executives \u2014 yet TFW has employed the following joint chief executives since FY 2001:\n<ul class=\"wp-block-list\">\n<li>Andrew Thorpe and Peter Mason to FY 2010, then;<\/li>\n<li>Andrew Thorpe and Mike Allcock to FY 2017, and then;<\/li>\n<li>Mike Allcock and Craig Muncaster to FY 2024.\u00a0<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Mr Thorpe and Mr Allcock also served as executive chairmen \u2014 a corporate governance no-no \u2014 for many years.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Other board features that contravene corporate-governance best practice include the absence of a nomination committee, the absence of board \u2018diversity\u2019 and the absence of directors standing for AGM re-election every year.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Appointing Mr Muncaster to the combined role of chief executive and group finance director creates three worries.<\/li>\n<\/ul>\n<ol class=\"wp-block-list\">\n<li>Mr Muncaster may become stretched with his extra executive responsibilities and certain tasks could be overlooked;<\/li>\n<li>Mr Muncaster obtains significant management power, which reduces the scope for different executive opinions at board level, and;<\/li>\n<li>Mr Muncaster has limited technical knowledge of TFW\u2019s products.\u00a0<\/li>\n<\/ol>\n<ul class=\"wp-block-list\">\n<li>This FY said the slimmed-down main board was counterbalanced by \u201c<em>strengthening the subsidiary boards<\/em>\u201c:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>The Board\u2019s head count has naturally decreased in recent years <\/em><strong><em>in favour of strengthening the subsidiary boards at the operating companies and promoting a focused group of managers from within <\/em><\/strong><em>that can support Group activities when called on.\u201d<\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>Board remarks during the 2024 AGM provided further explanation of the management changes. Attendees were told:\n<ul class=\"wp-block-list\">\n<li>Group operations throughout the UK and Europe had become \u201c<em>quite difficult to manage<\/em>\u201c, due to their \u201c<em>intricate nature<\/em>\u201c, for the main board;<\/li>\n<li>The subsidiary boards were therefore \u201c<em>strengthened<\/em>\u201d to become \u201c<em>self-managing entities<\/em>\u201c, and the main board now \u201c<em>just oversees them<\/em>\u201c;<\/li>\n<li>Re-jigging the subsidiary boards was performed in part by \u201c<em>elevating some individuals to have more of a group role<\/em>\u201d especially on the innovation side;<\/li>\n<li>The group\u2019s finance function has been enhanced, including the new role of Thorlux finance director, and;<\/li>\n<li>The chairman becoming a non-executive was \u201c<em>planned<\/em>\u201c.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Other board remarks at the 2024 AGM included:\n<ul class=\"wp-block-list\">\n<li><em>\u201cThe board structure is pretty much the same as it was previously\u2026 the same people are around the table holding us to account.\u201d<\/em>;<\/li>\n<li><em>\u201cWe don\u2019t like to bring people in from outside. We like to develop from within.\u201d, <\/em>and<em>;<\/em><\/li>\n<li><em>\u201cW<\/em><em>e\u2019ll see how things develop as to whether we split the CEO role back to joint CEOs.\u201d<\/em><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The appointment of Mr Muncaster as chief executive\/group finance director ultimately has the blessing of the two Thorpe non-executives, both of whom:\n<ul class=\"wp-block-list\">\n<li>Have spent their careers at TFW;<\/li>\n<li>Are now in their 70s, and;<\/li>\n<li>Have (presumably) accrued plenty of knowledge about management recruitment during the last few decades.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>I doubt the Thorpe non-executives would risk their combined 43%\/\u00a3158m shareholding on a mis-judged chief executive appointment.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>I continue to speculate the board re-jig signals a different approach to group strategy and \u2018<a href=\"https:\/\/www.investopedia.com\/terms\/c\/capital_allocation.asp\" target=\"_blank\" rel=\"noreferrer noopener\">capital allocation<\/a>\u2018.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>After all, Mr Muncaster (alongside Mr Haafkens) is deemed by this FY to have \u201c<em>Mergers &amp; Acquisitions<\/em>\u201d expertise\u2026<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026and major boardroom decisions of the last ten years have included purchasing Lightronics, Famostar, Zemper and SchahlLED for what could be an aggregate \u00a380m-plus.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>I get the impression the earlier private-equity deals between Mr Muncaster and Mr Haafkens will now set the tone for TFW\u2019s future expansion.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Mr Muncaster has overseen some very appealing group accounts since he joined TFW during FY 2010. Perhaps Mr Muncaster has helped impose greater financial discipline and workplace efficiency throughout the group.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Indeed, my primary observation from the 2024 AGM factory tour was nobody was talking or standing still:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-66ad70fc\"><img loading=\"lazy\" decoding=\"async\" width=\"800\" height=\"303\" class=\"gb-image gb-image-66ad70fc\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-agm-photos-800x.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-agm-photos-800x.png 800w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-agm-photos-800x-300x114.png 300w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-agm-photos-800x-768x291.png 768w\" sizes=\"auto, (max-width: 800px) 100vw, 800px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Mr Muncaster is 51 years old, so time should be on his side to develop TFW for the long run.<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-87d8702a gb-headline-text\" id=\"boardroom-acquisition-strategy-kpis\"><strong>Boardroom: acquisition strategy and KPIs<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>The purchases of Lightronics, Famostar, Zemper and SchahlLED for what could be an aggregate \u00a380m-plus have dominated TFW\u2019s \u2018<a href=\"https:\/\/www.investopedia.com\/terms\/c\/capital_allocation.asp\" target=\"_blank\" rel=\"noreferrer noopener\">capital allocation<\/a>\u2018 during the last ten years.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Board remarks at the 2024 AGM explained how the acquisition plan developed. Attendees were told:\n<ul class=\"wp-block-list\">\n<li>The directors felt TFW was<em> \u201cbordered by the island of the UK<\/em>\u201d during the 2008\/9 banking crash;<\/li>\n<li>An \u201c<em>active decision<\/em>\u201d was then taken to reduce UK exposure by investing abroad;<\/li>\n<li>The \u201c<em>good experience<\/em>\u201d with the Dutch businesses prompted further purchases in Spain and Germany, and;<\/li>\n<li>The approach \u201c<em>de-risks\u201d <\/em>the group and seems to \u201c<em>have worked<\/em>\u201c.\u00a0<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Board remarks at the 2024 AGM also described the acquisition checklist. Attendees were told:\n<ul class=\"wp-block-list\">\n<li>Likely targets are lighting businesses that are stable, successful and not directly competing with other TFW operations;<\/li>\n<li>Possible synergies, including integrations with SmartScan, are half-way down the checklist, and;<\/li>\n<li>\u201c<em>We are not business turnaround specialists<\/em>\u201c.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>This FY did not rule out the aforementioned \u00a353m cash position funding another acquisition:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">\u201c<em>Whilst there are no firm plans, <\/em><strong><em>the cash reserves give the Board the opportunity to consider further acquisitions<\/em><\/strong><em> if a suitable situation arises.<\/em>\u201c<\/p>\n<ul class=\"wp-block-list\">\n<li>My aforementioned sums indicate:\n<ul class=\"wp-block-list\">\n<li>The \u00a330m paid for the Dutch subsidiaries currently delivers an \u00a38.8m adjusted operating profit \u2014 equivalent to a 29% pre-tax return;<\/li>\n<li>The estimated \u00a336m total purchase price for Zemper currently delivers a \u00a32.9m adjusted operating profit \u2014 equivalent to an 8% pre-tax return, and;<\/li>\n<li>The estimated \u00a319m total purchase price for SchahlLED current delivers a \u00a31.9m adjusted operating profit \u2014 equivalent to a 10% pre-tax return.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Board remarks during the 2024 AGM did not reveal any particular way of measuring the returns from the acquisitions. Attendees were told:\n<ul class=\"wp-block-list\">\n<li>Acquisitions are bought for the long term and can contribute to the group through various synergies;<\/li>\n<li>TFW\u2019s philosophy is about \u201c<em>return on sales and not being busy fools<\/em>\u201c;<\/li>\n<li>The board does ask \u201c<em>what dividends are we getting?<\/em>\u201d from the acquisitions, and;<\/li>\n<li>There is no strict IRR calculation to measure an acquisition\u2019s progress.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Perhaps the gold-standard acquisitive business on the stock market is <strong>Halma (HLMA)<\/strong>.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/maynardpaton.com\/sharescope\/\" target=\"_blank\" rel=\"noreferrer noopener\">ShareScope<\/a> shows the specialist engineer delivering wonderful share-price gains\u2026<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026as well as quite possibly the most consistent dividend record among quoted companies (45 years of 5%-plus increases):<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>HLMA\u2019s success is based upon:\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/www.halma.com\/how-we-grow\" target=\"_blank\" rel=\"noreferrer noopener\">Buying leading businesses<\/a> in \u201c<em>global niche markets\u201d<\/em>, and;<\/li>\n<li>Operating a \u201c<em>decentralised model<\/em>\u201d that allows managers to expand their subsidiaries with minimal head-office interference:<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[HLMA FY 2024] \u201c<em>The third element is the benefits we derive from our <\/em><strong><em>decentralised model, where our leaders are entrepreneurs and empowered to grow in their specific market niches as if each business were their own<\/em><\/strong><em>. This leads to a highly agile, innovative and proactive culture, as our companies look to understand the issues our customers are facing and help to solve them with their application knowledge and innovative technologies.\u00a0<\/em><\/p>\n<p><em>And finally, talent and culture are crucial. <\/em><strong><em>Our decentralised model requires that we have the very best people in our companies, operating in an entrepreneurial, high\u2010performing, yet collaborative and supportive culture<\/em><\/strong><em>.<\/em>\u201d\u00a0<\/p>\n<ul class=\"wp-block-list\">\n<li>I do wonder if TFW is shifting towards a \u201c<em>decentralised model<\/em>\u201c, given attendees at the 2024 AGM were told:\n<ul class=\"wp-block-list\">\n<li>Group operations throughout the UK and Europe had become \u201c<em>quite difficult to manage<\/em>\u201c, due to their \u201c<em>intricate nature<\/em>\u201c, for the main board, and;<\/li>\n<li>The subsidiary boards were therefore \u201c<em>strengthened<\/em>\u201d to become \u201c<em>self-managing entities<\/em>\u201c, and the main board now \u201c<em>just oversees them<\/em>\u201c.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>HLMA has spent more than \u00a32b on acquisitions during the last 30 years\u2026<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026since when operating profit has rallied from \u00a325m to \u00a3370m:<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>HLMA utilises return on total invested capital (ROTIC) as one of its key performance indicators reinvestment and acquisition spend.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Underlining ROTIC\u2019s importance to HLMA, the measure determines 50% of management\u2019s LTIP contrast, this FY reiterated TFW\u2019s KPIs do not evaluate the effectiveness of the group\u2019s \u2018capital allocation\u2019:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-7bb6c2e4\"><img loading=\"lazy\" decoding=\"async\" width=\"660\" height=\"800\" class=\"gb-image gb-image-7bb6c2e4\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-kpis.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-kpis.png 660w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-kpis-248x300.png 248w\" sizes=\"auto, (max-width: 660px) 100vw, 660px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Using HLMA\u2019s ROTIC formula, I calculate for this FY:\n<ul class=\"wp-block-list\">\n<li>TFW\u2019s adjusted earnings were \u00a326m;<\/li>\n<li>TFW\u2019s total invested capital (with acquisition-related amortisation added back) was an average \u00a3172m, and;<\/li>\n<li>TFW\u2019s ROTIC was therefore 15%.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>A 15% ROTIC matches that of HLMA, and may even underplay TFW\u2019s reinvestment ability given the \u00a353m cash position appears to earn only 1% interest.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>For further perspective, between FY 2014 and this FY, TFW has increased its earnings by \u00a314m and increased its shareholder equity by \u00a399m:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-044ca47a\"><img loading=\"lazy\" decoding=\"async\" width=\"700\" height=\"400\" class=\"gb-image gb-image-044ca47a\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart37.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart37.png 700w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-spreadsheet-chart37-300x171.png 300w\" sizes=\"auto, (max-width: 700px) 100vw, 700px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>Retaining \u00a399m within the group to advance earnings by \u00a314m implies TFW has reinvested shareholders\u2019 money at a useful 14%.<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[LTIP Circular 2024] \u201c<em>The plan allows the vesting of Options to be subject to performance conditions. The vesting of these initial Options will be subject to the achievement of the following performance targets:\u00a0<\/em><\/p>\n<p><em>Earnings per Share (\u201cEPS\u201d)\u00a0<\/em><\/p>\n<p><strong><em>The percentage of the Option that Vests pursuant to the EPS Performance Condition is 80%.<\/em><\/strong><em>\u00a0<\/em><\/p>\n<p><em>The EPS Growth Target will be measured annually on the Performance Measurement Date over a period of 5 years.\u00a0<\/em><\/p>\n<p><em>The EPS Growth Target will be CPI plus 2% each year.<\/em>\u201c<\/p>\n<figure class=\"gb-block-image gb-block-image-9a284064\"><img loading=\"lazy\" decoding=\"async\" width=\"900\" height=\"510\" class=\"gb-image gb-image-9a284064\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-circular-eps.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-circular-eps.png 900w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-circular-eps-300x170.png 300w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-FY-2024-circular-eps-768x435.png 768w\" sizes=\"auto, (max-width: 900px) 100vw, 900px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>The other 20% of the LTIP is dependent on total shareholder return and ESG progress.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>EPS can of course increase through acquisitions even if they are purchased at exorbitant prices, which is why class-act HLMA includes ROTIC within its LTIP to help ensure its acquisitions provide value for money.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Note that TFW\u2019s LTIP uses statutory EPS rather than adjusted EPS as a performance condition. Statutory EPS includes acquired-intangible amortisation, which is not correlated to the acquisition\u2019s underlying trading performance.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Maybe using statutory EPS is why TFW\u2019s LTIP demands five-year EPS to advance at <a href=\"https:\/\/www.ons.gov.uk\/economy\/inflationandpriceindices\" target=\"_blank\" rel=\"noreferrer noopener\">CPI<\/a> + only 2% per annum, which at the moment equates to just 5%.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Targeting a 5% five-year EPS CAGR seems another feature of a \u2018<a href=\"https:\/\/maynardpaton.com\/2024\/12\/23\/tristel-record-fy-2024-discloses-impressive-32-uk-growth-as-sudden-us-purchasing-bureaucracy-explains-leadership-change-boilerplate-ltip-seeks-only-5-5-eps-cagr-and-p-e-drops-to-lowest-since-201\/#new-ltip\">boilerplate<\/a>\u2018 LTIP that does not really challenge management to deliver superior returns to all shareholders\u2026<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026especially when adjusted earnings delivered an approximate 10% CAGR during the five years to this FY.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>At least the new LTIP scheme will award options equivalent to only 1.8% of the current share count.<\/li>\n<\/ul>\n<h2 class=\"gb-headline gb-headline-fc8e6f53 gb-headline-text\" id=\"valuation\"><strong>Valuation<\/strong><\/h2>\n<ul class=\"wp-block-list\">\n<li>This FY supplied a \u201c<em>modest growth<\/em>\u201d outlook:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\"><em>\u201c<\/em><strong><em>All Group companies are charged with growth; <\/em><\/strong><em>as ever, this is their target. With so many companies in the Group, there will be inevitable ups and downs in various locations. <\/em><strong><em>All the larger companies are in good shape<\/em><\/strong><em> with stable and experienced leadership teams with good order books at the start of the new financial year. <\/em><strong><em>Costs are generally under control, although people cost pressures remain<\/em><\/strong><em> and the companies need to keep working hard to find efficiency improvements.\u00a0<\/em><\/p>\n<p><em>The smaller companies have all struggled somewhat to get themselves back on a plan for growth in recent years. <\/em><strong><em>Changes have been made and each company has a plan to grow.\u00a0<\/em><\/strong><\/p>\n<p><em>The change in governments in various Group locations raises a few questions about the future, but the Group setup gives good resilience overall.\u00a0<\/em><\/p>\n<p><strong><em>Consolidated as a whole, the outlook is positive with modest growth expectations<\/em><\/strong><em>.\u201d<\/em><\/p>\n<ul class=\"wp-block-list\">\n<li>November\u2019s AGM then reinforced the subdued prospects:<\/li>\n<\/ul>\n<p class=\"has-global-color-8-background-color has-background\">[AGM 2024] \u201c<em>Since the beginning of the new financial year, <strong>orders and revenue are modestly ahead<\/strong> of the same period last year, with the usual \u2018ebb and flow\u2019 across the Group. The Board <strong>expects half\u2010year results to be marginally ahead<\/strong> of last year.<\/em><\/p>\n<p>Thorlux has started the year positively, as has Zemper. The Dutch operations are struggling to replicate the fantastic performance of 2023\/24 but are endeavouring to improve. TRT is demonstrating some positive signs of improvement with a renewed sales team and new product introductions but continues to trade below expectations.<\/p>\n<p>The Group continues to target profitable growth utilising its broad sector and geographical coverage, supported by its comprehensive product portfolio.\u201d<\/p>\n<ul class=\"wp-block-list\">\n<li>Applying the 25% standard UK tax rate to this FY\u2019s \u00a332m adjusted operating profit gives earnings of \u00a324m or approximately 20p per share.\u00a0<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The 310p shares therefore trade at 15x my earnings estimate, which is the lowest multiple for ten years:<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Note that patent box relief helped this FY register a 19% tax rate:<\/li>\n<\/ul>\n<figure class=\"gb-block-image gb-block-image-e1fed95a\"><img loading=\"lazy\" decoding=\"async\" width=\"1060\" height=\"320\" class=\"gb-image gb-image-e1fed95a\" src=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-tax.png\" alt=\"\" srcset=\"https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-tax.png 1060w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-tax-300x91.png 300w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-tax-1024x309.png 1024w, https:\/\/maynardpaton.com\/wp-content\/uploads\/2025\/02\/TFW-AR-2024-results-tax-768x232.png 768w\" sizes=\"auto, (max-width: 1060px) 100vw, 1060px\"\/><\/figure>\n<ul class=\"wp-block-list\">\n<li>A 19% tax rate would convert this FY\u2019s \u00a332m adjusted operating profit into earnings of \u00a326m, or 22p per share, to support a 14x multiple.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>My calculations could be fine-tuned further for the \u00a350m net cash and \u00a310m aggregate forecast earn-out for Zemper and SchahlLED.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Indeed, subtract the \u00a340m of \u2018surplus capital\u2019 from the \u00a3369m market cap, and the underlying business could be valued at 12-13x \u2018operational earnings\u2019.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Further tweaks could be applied to cater for:\n<ul class=\"wp-block-list\">\n<li>The Ratio investment (\u00a35m), loan notes (\u00a34m) and losses (\u00a31m);<\/li>\n<li>The investment properties (\u00a34m) and equity portfolio (\u00a34m), and;<\/li>\n<li>Potential operating improvements at Zemper and the Other subsidiaries\u2026<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026but such adjustments would probably confirm TFW\u2019s recent valuation has become somewhat reasonable for the first time in many years.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>During my time as a shareholder, TFW has:\n<ul class=\"wp-block-list\">\n<li>Evolved through acquisitions from a UK-centric business into a pan-European operator;<\/li>\n<li>Lifted operating profit from \u00a311m to an adjusted \u00a332m;<\/li>\n<li>Extended its run of consecutive dividend increases to 22 years and declared <em><span style=\"text-decoration: underline;\">five<\/span><\/em> special payouts, and;<\/li>\n<li>Increased its market cap from approximately \u00a394m to \u00a3369m.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>Maybe those twelve-plus years of positive progress could mean the chances of buying at a 10x-or-less multiple have become much less likely.<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>I would venture today\u2019s multiple may not entirely reflect TFW\u2019s:\n<ul class=\"wp-block-list\">\n<li>Long-time operational resilience, as demonstrated by those 22 years of consecutive dividend increases;<\/li>\n<li>Appealing returns from acquisitions purchased on low multiples (e.g. Lightronics and Famostar);<\/li>\n<li>Possible growth opportunities through Zemper synergies and cross-selling into different European territories, and;<\/li>\n<li>Future orders supported by new product launches and ongoing concerns about elevated energy costs.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>The bear case beyond general economic challenges include:\n<ul class=\"wp-block-list\">\n<li>Zemper, SchahlLED and Ratio not performing quite as expected following significant purchase expenditure;<\/li>\n<li>Mr Muncaster and Mr Haafkens undertaking ambitious acquisitions without adhering to a suitable KPI;<\/li>\n<li>A slowing transition to energy-saving lighting;<\/li>\n<li>Reduced public spending on schools, hospitals and other prominent TFW sectors;<\/li>\n<li>The board\u2019s desire to \u201c<em>promote from within<\/em>\u201c, which may preclude innovative thinking from outside of the group, and;<\/li>\n<li>The LTIP\u2019s CPI+2% EPS target implying moderate growth prospects.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>As the board ponders how to employ the \u00a353m cash position, the 310p shares trade at a level first achieved during late 2016\u2026<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li>\u2026while this FY\u2019s 6.78p per share ordinary dividend
