The decision notes that the foreign company involved was willing to assist, but needed to see a court order to manage their possible legal liability:<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 72pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">[3] \u00a0\u00a0\u00a0\u00a0\u00a0 The affiant explained that [REDACTED] is incorporated and headquartered in [REDACTED] does not have physical offices or employees in Canada. It has a virtual presence in Canada that consists of [_some physical presence in Canada_]. It solicits business from Canadians and [REDACTED].<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 72pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">\u00a0<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 72pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">[4] \u00a0\u00a0\u00a0\u00a0\u00a0 The affiant also explained that [REDACTED] has been fully cooperative in providing assistance to CSIS to date, but has advised CSIS that it requires a judicial authorization from a Canadian court to minimize its legal risk in the event that CSIS uses the collected intelligence beyond analysis; [REDACTED]. [REDACTED] advised that it would continue to be cooperative pending and upon receipt of an Assistance Order.<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 36pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">The company\u2019s willingness to comply wasn\u2019t particularly material to the Court\u2019s decision.<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 36pt; text-align: left;\"><span style=\"font-family: arial;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\">At the urging of the government and largely supported by a court-appointed\u00a0<i>amicus<\/i>, the Court followed a trend of cases that have dealt with similar questions but involving production orders under the\u00a0<i>Criminal Code<\/i>. The first of these cases is\u00a0<\/span><a data-auth=\"NotApplicable\" data-linkindex=\"2\" href=\"https:\/\/canlii.ca\/t\/hplpj\" rel=\"noopener noreferrer\" style=\"border: 0px; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\" target=\"_blank\"><i><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\">British Columbia (Attorney General) v. Brecknell<\/span><\/i><\/a><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\">, where the Royal Canadian Mounted Police were seeking to obtain a production order naming Craigslist. As with this CSIS case, Craigslist said they\u2019d cooperate but needed to see a court order. The British Columbia Court of Appeal, influenced by the\u00a0<\/span><a data-auth=\"NotApplicable\" data-linkindex=\"3\" href=\"https:\/\/www.canlii.org\/en\/ca\/scc\/doc\/2017\/2017scc34\/2017scc34.html\" rel=\"noopener noreferrer\" style=\"border: 0px; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\" target=\"_blank\"><i><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\">Equustek<\/span><\/i><\/a><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\">\u00a0case from the Supreme\u00a0 Court of Canada, concluded that a court has jurisdiction to issue a production order naming an entity physically beyond the court\u2019s jurisdiction provided they had a \u201cvirtual presence\u201d within the jurisdiction.<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 36pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">The Court concluded:<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 72pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">[49] \u00a0\u00a0\u00a0 I find that the jurisprudence in the context of production orders issued pursuant to section 487.014 of the\u00a0<i>Criminal Code<\/i>\u00a0provides a good analogy and support for finding that this Court has the jurisdiction to issue an Assistance Order where in personam jurisdiction can be established. The two provisions are similar in purpose, albeit in different contexts, both are directed to a person, which includes an organization or entity that is a legal person, and similar considerations arise in determining whether the order should be issued where the subject has only a virtual presence in Canada.<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 72pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">[50] \u00a0\u00a0\u00a0 The considerations noted by the SCC in\u00a0<i>Equustek<\/i>\u00a0lend further support to taking an approach that reflects the realities of the internet dominated storage and transmission of documents and information. As noted in\u00a0<i>Brecknell<\/i>, document control may exist in one jurisdiction, and the documents in another or in several others and \u201cformalistic distinctions\u201d between virtual and physical presence defeat the purpose of the legislation.<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 72pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">[51] \u00a0\u00a0\u00a0 Whether an organization or entity with only a virtual presence in Canada can establish a real and substantial connection with Canada sufficient to constitute presence in Canada will be a case-by-case determination. Where such\u00a0<i>in personam<\/i>\u00a0jurisdiction is established, the organization or entity that is subject to the Assistance Order and required to provide documents in their possession or control is considered to be in Canada although the documents may be stored elsewhere.<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 36pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">As with a number of the cases following\u00a0<i>Brecknell<\/i>, the Court concluded that its ability to issue the order does not turn on whether it would be able to enforce the order, though that is a relevant consideration:<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 72pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">[53]\u00a0\u00a0\u00a0\u00a0\u00a0 I have considered the issue of enforcement of the Assistance Order on [REDACTED]. I note that they have been cooperative to date and indicate their ongoing intention to cooperate. However, I also agree with the submissions of the AGC and\u00a0<i>amicus<\/i>\u00a0and the jurisprudence, that the enforcement of the Order is a separate issue from whether the Court has jurisdiction to issue the Order, but remains a relevant consideration with respect to whether the Order should be issued based on the particular circumstances.<\/span><\/span><\/p>\n<p style=\"background-color: white; color: #242424; margin: 0px 0px 6pt 36pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-style: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\">Consistent with the previous production order cases cited, the intended recipient was not a party to the hearing. All were\u00a0<i>ex parte<\/i>, but some included\u00a0<i>amici<\/i>.<\/span><\/span><\/p>\n<p style=\"background-color: white; margin: 0px 0px 6pt 36pt; text-align: left;\"><span style=\"border: 0px; color: inherit; font-feature-settings: inherit; font-kerning: inherit; font-optical-sizing: inherit; font-stretch: inherit; font-variant: inherit; font-variation-settings: inherit; font-weight: inherit; line-height: inherit; margin: 0px; padding: 0px; vertical-align: baseline;\"><span style=\"font-family: arial;\"><span style=\"font-style: inherit;\">Note: I believe that <\/span><i>Brecknell<\/i><span style=\"font-style: inherit;\"> was wrongly-decided, but because all of these orders have not been <\/span><i>ex parte<\/i><span style=\"font-style: inherit;\"> and unopposed, it&#8217;ll be some time before these arguments will be made in court.\u00a0 \u00a0See:\u00a0<\/span><\/span><\/span><span style=\"background-color: transparent;\"><span style=\"color: #242424; font-family: arial;\">David T Fraser, &#8220;<a href=\"https:\/\/digitalcommons.schulichlaw.dal.ca\/cjlt\/vol18\/iss1\/5\/\" target=\"_blank\">British Columbia (Attorney General) v.
