{"id":106882,"date":"2025-02-24T10:16:03","date_gmt":"2025-02-24T10:16:03","guid":{"rendered":"https:\/\/peraltafinancing.com\/business\/finance\/prosus-to-acquire-just-eat-takeaway-in-e4bn-deal\/"},"modified":"2025-02-24T10:16:03","modified_gmt":"2025-02-24T10:16:03","slug":"prosus-to-acquire-just-eat-takeaway-in-e4bn-deal","status":"publish","type":"post","link":"https:\/\/fivemor.com\/?p=106882","title":{"rendered":"Prosus to acquire Just Eat Takeaway in \u20ac4bn deal"},"content":{"rendered":"<p> <br \/>\n<\/p>\n<div>\n<p>Unlock the Editor\u2019s Digest for free<\/p>\n<p class=\"article__content-sign-up-topic-description\"><span>Roula Khalaf, Editor of the FT, selects her favourite stories in this weekly newsletter.<\/span><\/p>\n<p><iframe class=\"article__content-sign-up-iframe close\" scrolling=\"no\" id=\"signUpIframe\" data-prev-url=\"\/register\/in-article-sign-up?ft-content-uuid=9b3af18a-e499-4baf-92d8-930ad39f26b9\"><\/iframe><\/div>\n<div id=\"article-body\">\n<p>Just Eat Takeaway is set to be acquired by investment group Prosus in a \u20ac4.1bn deal that will lead to the European food delivery company\u2019s delisting from public markets.<\/p>\n<p>The all-cash offer of \u20ac20.30 a share is a 22 per cent premium over the group\u2019s recent three-month high but below the \u20ac23.50 price at which Takeaway.com first started trading when it went public back in 2016. <\/p>\n<p>The deal follows a tumultuous few years for Amsterdam-based Just Eat Takeaway, whose shares surged during the Covid-19 pandemic but fell sharply as lockdowns ended. <\/p>\n<p>For <a href=\"https:\/\/www.ft.com\/stream\/21f38912-a4ad-4601-8886-1896b819f0ad\" data-trackable=\"link\">Prosus<\/a>, the deal is its most significant transaction since chief executive Fabricio Bloisi took over in May with ambitious plans to double its market value.<\/p>\n<p>Bloisi, who formerly led iFood, the Prosus-owned food delivery app that dominates his native Brazil, said on Monday that the <a href=\"https:\/\/www.ft.com\/stream\/3ac6989e-8e94-4ba1-8680-64ab698a6464\" data-trackable=\"link\">Just Eat<\/a> deal was an \u201copportunity to create a European tech champion\u201d. <\/p>\n<p>Prosus\u2019 offer, which has been recommended by Just Eat\u2019s board but will require shareholder approval, comes in at less than a fifth of the takeaway group\u2019s peak stock price in 2020. <\/p>\n<p>But Jitse Groen, Just Eat Takeaway\u2019s founder and chief executive, said the deal offered \u201cimmediate, certain and attractive value for investors\u201d and would allow more investment in the business than would be possible as a public company. <\/p>\n<p>\u201cIt\u2019s a very large premium to the current share price, that is always most important in these discussions,\u201d he said. <\/p>\n<p>Just Eat Takeaway shares were up around 52 per cent following the announcement. Shares of competitors Deliveroo and Delivery Hero jumped 4 per cent and 7 per cent respectively. <\/p>\n<p>However, Prosus shares fell more than 7 per cent in early trading.<\/p>\n<p>Prosus, the investment arm of South African group Naspers, has sought Just Eat for years. In early 2020, it <a href=\"https:\/\/www.ft.com\/content\/3938b42e-33b9-11ea-a329-0bcf87a328f2\" data-trackable=\"link\">lost out<\/a> to Netherlands-based Takeaway.com in a bidding war after offering \u00a35.5bn for the UK food delivery pioneer.<\/p>\n<p>Since then, the group has been led by Groen, the Dutch entrepreneur who founded Takeaway.com in 2000. Groen said the group was now a \u201cfaster growing, more profitable and predominantly European-based business\u201d and that the deal would \u201caccelerate our investments and growth across food, groceries, fintech and other adjacencies\u201d.<\/p>\n<p>Groen told reporters that he and Just Eat Takeaway\u2019s existing management team would stay on after the deal closes, despite Bloisi\u2019s hands-on experience in operating food delivery companies. <\/p>\n<p>\u201cHe runs Prosus and I run Just Eat Takeaway,\u201d Groen said. \u201cThe role going forward will remain the same. I think we can be more aggressive as a competitor in the current environment so that\u2019s exciting for everyone in the business.\u201d <\/p>\n<p>Prosus previously bought a one-third stake in iFood from Just Eat in 2022, taking full control of the group.
